LEGAL FEE LETTER

This Legal Fee Letter ("Agreement") is made effective as of by and between Client Name: with Client Address: and Law Firm Name: with Law Firm Address: .

RECITALS

WHEREAS, Client has requested that Law Firm provide legal services in connection with the matter described below; and

WHEREAS, Law Firm has agreed to represent Client subject to the terms and conditions set forth in this Agreement and consistent with the rules of professional conduct applicable to attorneys; and

WHEREAS, the parties desire to set forth in writing the fee arrangement, retainer and other administrative terms that will govern Law Firm's representation of Client.

NOW, THEREFORE

In consideration of the mutual promises contained herein, the parties agree as follows:

1. SCOPE OF REPRESENTATION

Law Firm will represent Client in connection with: (the "Matter"). The representation does not include matters not expressly described above unless agreed in writing.

2. FEES AND RATE SCHEDULE

Fees for legal services will be billed as follows. Unless the parties execute a separate written fee agreement, the hourly rates in effect at the time services are rendered shall apply.

3. RETAINER

Client shall pay an initial retainer in the amount of $ to be deposited to Law Firm's trust account. The retainer will be applied to pre-billed fees and expenses as earned. Client authorizes Law Firm to draw from the retainer for fees and expenses as they are incurred.

4. EXPENSES AND DISBURSEMENTS

Client is responsible for all out-of-pocket costs and disbursements incurred in connection with the Matter, including but not limited to filing fees, expert fees, courier charges, travel and deposition costs. Such costs will be billed as incurred and are due in accordance with the Billing and Payment section below.

5. BILLING AND PAYMENT

Law Firm will render statements to Client on a basis. Invoices are payable within days of receipt. Overdue balances shall accrue interest at and Client shall be responsible for collection costs and reasonable attorneys' fees incurred enforcing payment.

6. TRUST ACCOUNT PRACTICES

Retainer funds will be held in Law Firm's client trust account entitled: . Law Firm will maintain required records and shall render an accounting of trust funds upon request and upon termination of the representation to the extent required by law.

7. CONFLICTS; INDEPENDENCE

Client represents that Client has disclosed all known parties and facts that could give rise to a conflict of interest. Law Firm will perform a conflicts search and will inform Client if a disqualifying conflict exists. If permitted by law and upon full disclosure, Client consents to Law Firm's representation of other clients whose interests are not materially adverse to Client's interests in this Matter.

8. TERMINATION

Either party may terminate this engagement at any time by giving written notice to the other party. Upon termination, Client shall promptly pay for all fees and costs incurred through the date of termination. Law Firm may retain possession of Client files and records until all outstanding fees and costs are paid, to the extent permitted by law.

9. CONFIDENTIALITY

Law Firm will maintain the confidentiality of information received from Client to the extent required by applicable rules of professional responsibility, except as otherwise authorized by Client or as required by law or court order.

10. FILE RETENTION

At the conclusion of the Matter, Law Firm may, in its discretion, destroy or otherwise dispose of closed files after a reasonable period unless Client requests in writing that the original file be returned. Client may obtain copies of the file upon payment of reasonable copying and retrieval charges.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between Client and Law Firm with respect to the subject matter hereof and supersedes all prior discussions and agreements. If any provision of this Agreement is held invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13. NOTICES

All notices required or permitted under this Agreement shall be given in writing and delivered to the addresses set forth above or to such other address as either party designates by written notice. Notice may be delivered by personal delivery, courier, or certified mail.

14. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. ACCEPTANCE
