LEGAL FEE SHARING AMENDMENT

This Legal Fee Sharing Amendment (the "Amendment") is made effective as of by and between Lead Counsel: with principal address: , and Co-Counsel: with principal address: (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, the Parties previously entered into a fee sharing agreement dated (the "Original Agreement") concerning representation of Client Name: in Matter/Case: .

WHEREAS, the Parties desire to amend the Original Agreement to revise the terms and procedures under which legal fees and costs recovered in the Matter will be shared between the Parties.

WHEREAS, the Parties represent that the fee sharing set forth herein is consistent with applicable professional responsibility rules and that Client Name: has provided or will provide any required informed consent.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree to amend the Original Agreement as follows:

1. AMENDMENT TO FEE SHARING ARRANGEMENT

1.1 Fee Allocation. The Parties agree that, with respect to attorney fees recovered on behalf of the Client in the Matter, fees shall be divided as follows: Lead Counsel shall receive of the net attorney fees and Co-Counsel shall receive of the net attorney fees, subject to paragraph 1.2 below.

1.2 Definitions and Net Fees. "Net attorney fees" means gross attorney fees recovered or awarded in the Matter less (a) court-ordered deductions, (b) sums required by statute or order to be paid to third parties, and (c) reasonable, documented litigation costs and disbursements. The Parties shall agree in writing and attach as an exhibit any further objective method for calculating net fees for a specific recovery.

2. CLIENT CONSENT; ETHICS

2.1 Client Consent. The Parties represent and warrant that Client has been informed of the terms of this Amendment and has consented in writing to the fee division authorized herein. Evidence of written client consent shall be maintained in the lead counsel's file and produced to the other Party upon request.

2.2 Professional Standards. Each Party shall comply with all applicable rules of professional conduct, ethical obligations, and fiduciary duties arising from the fee sharing arrangement. Each Party affirms that the allocation set forth herein is reasonable in relation to the services performed.

3. BILLING, TRUST ACCOUNTS, AND DISBURSEMENT

3.1 Billing and Accounting. Lead Counsel shall prepare and provide to Co-Counsel a written accounting of gross recoveries, docketed costs, and proposed fee distributions within calendar days after receipt of each recovery or award.

3.2 Trust and Disbursement. All client funds shall be handled in accordance with applicable trust account rules. Disbursement of each Party's share shall occur within calendar days following clearance of funds, subject to any court order or lien that may affect distribution.

4. RESPONSIBILITIES; CONTROL OF MATTER

4.1 Control. The Parties agree that primary responsibility for litigation strategy and client communications shall be exercised by Lead Counsel unless the Parties otherwise agree in writing. Notwithstanding control, Co-Counsel shall have the right to consult and participate in substantive strategic decisions.

4.2 Division of Work. The Parties shall maintain contemporaneous time and task records allocated to the Matter. Timekeeping records shall be made available to the other Party upon reasonable request for purposes of audit and reconciliation.

5. REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

5.1 Representations. Each Party represents and warrants that (a) it is duly authorized to enter into this Amendment, (b) there is no pending disciplinary proceeding that would prevent performance of its obligations hereunder, and (c) its execution of this Amendment will not violate any agreement with a third party.

5.2 Indemnification. Each Party shall indemnify and hold harmless the other Party from and against any and all losses, claims, liabilities, and expenses (including reasonable attorneys' fees and costs) arising from that Party's breach of this Amendment, negligent acts, or willful misconduct, except to the extent such losses result from the indemnified Party's own breach, negligence, or willful misconduct.

6. TERMINATION

6.1 Termination for Convenience. Either Party may terminate this Amendment upon written notice to the other Party delivered at least days prior to the effective date of termination. Termination shall not affect the Parties' obligations with respect to fees or costs incurred prior to termination.

6.2 Survival. Sections concerning accounting, disbursement, indemnification, confidentiality, and dispute resolution shall survive termination or expiration of this Amendment to the extent necessary to effectuate the Parties' rights and obligations.

7. CONFIDENTIALITY

Each Party shall maintain the confidentiality of attorney-client communications and privileged material in accordance with applicable law and professional obligations. No Party shall disclose confidential or privileged information received from the other Party except as required by law or with prior written consent.

8. NOTICES

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses specified above, and shall be deemed given upon receipt.

9. GOVERNING LAW; DISPUTE RESOLUTION

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising under or relating to this Amendment shall be resolved by binding arbitration in accordance with the rules agreed upon by the Parties, unless the Parties mutually agree otherwise in writing.

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

10.1 Entire Agreement. Except as expressly modified by this Amendment, the Original Agreement remains in full force and effect. This Amendment, together with the Original Agreement, contains the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements.

10.2 Severability. If any provision of this Amendment is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

10.3 Amendment and Waiver. No amendment, modification, or waiver of any provision of this Amendment shall be effective unless in writing and signed by both Parties. No waiver of any breach shall constitute a waiver of any other or subsequent breach.

11. COUNTERPARTS; EXECUTION

This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be deemed originals for all purposes.
