LEGAL FEE SPLIT ADDENDUM

This Legal Fee Split Addendum ("Addendum") is made and entered into as of Effective Date: , by and between Primary Counsel: with principal address , and Referral Counsel: with principal address . The parties agree that this Addendum supplements and modifies the terms of the existing engagement between the parties in connection with the matter described as: (the "Matter").

RECITALS

WHEREAS, Primary Counsel and Referral Counsel have agreed to cooperate in the prosecution, defense or resolution of the Matter and to split fees recovered or earned in connection with the Matter; and

WHEREAS, the parties desire to set forth the proportionate division of fees, allocation of recoveries, treatment of costs and expenses, billing procedures, and client consents relating to such fee split; and

WHEREAS, this Addendum is intended to be incorporated into and form part of the engagement letter or fee agreement previously executed with the client for the Matter.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Addendum, the following definitions shall apply: "Gross Recovery" means the total monetary recovery obtained on behalf of the client whether by settlement, judgment, award or other means, before deduction of fees, costs, expenses or liens. "Net Recovery" means Gross Recovery after deduction of court-ordered or agreed liens, statutory deductions, and payment of client-approved disbursements, but prior to deduction of attorneys' fees allocated under this Addendum.

2. FEE SPLIT

2.1 Allocation. Subject to the client’s fee agreement and applicable ethical rules, the parties agree that attorneys' fees recovered in the Matter shall be divided as follows:

3. COSTS, EXPENSES, AND DISBURSEMENTS

3.1 Responsibility. Unless otherwise agreed in writing, costs and disbursements incurred in the prosecution or defense of the Matter shall be advanced by the incurring party and reimbursed from the recovery prior to the application of any fee split. Parties agree that the following treatment shall apply:

3.2 Allocation for Advanced Costs. If one party advances significant costs exceeding normal litigation expenses, the parties will document the advancement and the party advancing such costs shall have a lien against the recovery to be satisfied prior to fee division unless otherwise agreed in writing.

4. BILLING, ACCOUNTING, AND DISTRIBUTION

4.1 Billing. Each party shall maintain contemporaneous time records and documentation of fees and costs in a manner sufficient to permit a reasonable accounting. Upon collection of a recovery, the parties shall reconcile fees and costs within 30 days and issue accounting statements to the client as required.

4.2 Timing of Distributions. Distribution of net attorney fees shall occur not later than 30 days after final resolution and disbursement of costs, subject to any required holdback for liens, appeals or appeals bond, and after client-authorized deductions.

5. CLIENT CONSENT AND ETHICAL COMPLIANCE

5.1 Client Consent. The parties represent that client consent to the fee split is required and shall be obtained in writing consistent with the client's engagement agreement and applicable ethical rules. The parties agree to provide a copy of any required client consent to each other upon execution.

5.2 Ethical Compliance. Each party represents and warrants that performance under this Addendum will be in compliance with applicable rules of professional conduct governing fee splitting, referral fees, and client communication.

6. REPRESENTATIONS AND WARRANTIES

Each party represents that (a) it has full authority to enter into this Addendum; (b) there are no outstanding agreements that would conflict with the performance of this Addendum; and (c) it will promptly disclose any conflict of interest that arises relating to the Matter.

7. INDEMNIFICATION

Each party shall indemnify and hold the other harmless from and against any and all losses, claims, liabilities and expenses (including reasonable attorneys' fees) to the extent arising from that party's negligence, willful misconduct, or breach of this Addendum.

8. NOTICES

All notices required or permitted under this Addendum shall be in writing and delivered to the parties at the addresses set forth below (or such other address as a party designates in writing) by personal delivery, overnight courier, or certified mail, return receipt requested.

9. AMENDMENT, WAIVER, COUNTERPARTS

9.1 Amendment. This Addendum may be amended or modified only by a written instrument executed by both parties.

9.2 Waiver. No failure or delay by any party in exercising any right shall constitute a waiver of that right.

9.3 Counterparts. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

10.2 Entire Agreement. This Addendum, together with the engagement letter or fee agreement in effect for the Matter, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

10.3 Severability. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties to the greatest extent permitted by law.

MISCELLANEOUS PROVISIONS

The parties confirm that nothing in this Addendum shall be construed to create a partnership or joint venture except as expressly set forth. Each party shall bear its own tax liabilities resulting from fee receipts unless otherwise agreed in writing.
