RECITALS

Notices required under this Agreement shall be given in writing and delivered to the addresses below or to such other address as the party may designate by written notice.

9. AMENDMENT; WAIVER

Any amendment to this Agreement must be in writing and signed by both parties. No provision of this Agreement may be waived except by a written instrument signed by the party granting the waiver.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider maintains its principal office, without regard to its conflict of law principles.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements and understandings concerning the fee waiver request.

12. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that comes as close as possible to the parties' intent.

OTHER PROVISIONS

The Provider may, in its sole discretion, require periodic re-certification of financial status and may modify, revoke, or terminate any waiver upon material change in circumstances or discovery of material misrepresentation.
