This Legal Fees Request Form ("Form") is entered into as of by and between Attorney Firm Name: and Client Name: (collectively, the "Parties").

Recitals

WHEREAS, the Attorney Firm performs legal services for the Client and has provided or will provide services described herein; and

WHEREAS, the Attorney Firm has prepared an itemized estimate of fees and anticipated disbursements and seeks Client authorization to incur and bill for such fees and disbursements in accordance with the terms set forth below; and

WHEREAS, the Parties desire to set forth their respective understandings and Client's authorization for payment and billing of fees and disbursements.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. Definitions

In this Form, the following terms shall have the meanings set forth below: "Fees" means charges for professional time billed by the Attorney Firm at the rates specified in Section 3; "Disbursements" means out-of-pocket expenses incurred by the Attorney Firm on behalf of the Client; "Retainer" means funds held in trust subject to Section 5.

2. Scope of Services

The Attorney Firm shall provide legal services as requested by the Client and agreed between the Parties. Services covered by this request include, but are not limited to, the specific tasks described in the itemization below. Any services outside the scope set forth herein require separate written authorization.

3. Fee Estimate and Itemization

The Attorney Firm provides the following good-faith estimate of fees and anticipated disbursements. This is an estimate only; actual fees and disbursements may vary based on the time and complexity of the matter.

4. Billing, Payment and Retainer

The Attorney Firm shall invoice the Client monthly or at other agreed intervals for Fees and Disbursements. Client shall pay all undisputed amounts within thirty (30) days of invoice receipt. Overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. If applicable, Client shall deliver a Retainer in the amount of to be held in the Attorney Firm's trust account and applied against future invoices in accordance with professional fiduciary rules.

Client expressly authorizes the Attorney Firm to withdraw previously deposited retainer funds to satisfy billed Fees and Disbursements and to replenish the retainer upon notice as required by the Attorney Firm's billing practices.

5. Disbursements and Costs

Disbursements advanced by the Attorney Firm (including filing fees, courier charges, expert fees, travel and lodging reasonably required) are chargeable to the Client. The Attorney Firm will endeavor to obtain the Client's approval for significant or extraordinary disbursements in advance, provided that the Attorney Firm may advance necessary costs without prior consent in urgent circumstances and seek reimbursement.

6. Records; Audit

The Attorney Firm shall maintain contemporaneous time entries and records of disbursements. Upon reasonable notice and during normal business hours, Client or an authorized auditor may inspect billing records relevant to any disputed invoices; inspection shall be limited to records relating to the disputed amounts and shall be conducted at the Attorney Firm's offices or by electronic transmission.

7. Authorization and Certification

By signing below, Client authorizes the Attorney Firm to proceed with the services described herein and certifies that the Client has authority to authorize payment of the Fees and Disbursements. Client acknowledges that the estimate is not a fixed fee unless expressly stated in writing and agrees to be responsible for fees and costs actually incurred in accordance with this Form.

8. Notices

All notices required under this Form shall be in writing and delivered to the addresses below by hand, certified mail, or overnight carrier. Notice is effective upon receipt.

9. Amendments; Waiver; Counterparts

This Form may be amended only by a written instrument signed by both Parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. Governing Law; Entire Agreement; Severability

This Form shall be governed by and construed in accordance with the substantive laws of the governing jurisdiction selected by the Parties: , without regard to conflicts of law principles. This Form, together with any attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior communications and agreements. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
