LEGAL FIELD LEADER AGREEMENT

This Legal Field Leader Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: with principal address at (the "Company"), and Field Leader Name: with principal address at (the "Field Leader"). Company and Field Leader are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, the Company is engaged in the business of providing legal services, field operations, and client counsel, and requires experienced field leadership to supervise, coordinate and advise on matters in the field; and

WHEREAS, the Field Leader represents that they possess the requisite experience, professional qualifications, and licenses to perform the services described herein and is willing to provide such services to the Company on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the scope, compensation, and other terms governing the Field Leader's engagement.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. APPOINTMENT

The Company hereby engages the Field Leader, and the Field Leader accepts such engagement, to act as Field Leader to supervise, coordinate and provide leadership for field operations and legal-support activities as further described in Section 2. The Field Leader shall perform services in a professional manner consistent with industry standards and applicable law.

2. SCOPE OF SERVICES

The Field Leader's duties shall include, without limitation: supervising field teams; managing client on-site legal support; coordinating with Company counsel; preparing or reviewing field reports; conducting training; and performing other tasks reasonably related to field leadership ("Services"). Specific deliverables, milestones and performance standards are described below and may be supplemented by written statements of work executed by the Parties.

3. TERM

The term of this Agreement shall commence on Start Date: and, unless earlier terminated in accordance with Section 11, shall continue for Term Length (months): or until End Date: , whichever occurs first.

Either Party may terminate this Agreement for cause if the other Party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice specifying the breach. The Company may terminate without cause upon thirty (30) days' prior written notice to the Field Leader, subject to payment of accrued compensation and expenses through the effective date of termination.

4. COMPENSATION AND PAYMENT

As full compensation for the Services rendered under this Agreement, the Company shall pay the Field Leader the compensation set forth below in accordance with the payment terms specified. All amounts are payable in United States dollars unless otherwise agreed in writing.

The Field Leader shall submit written invoices in the form reasonably acceptable to the Company. Payments shall be made within the payment period specified above following receipt of a proper invoice. The Company may withhold taxes or other deductions as required by applicable law; the Field Leader is responsible for all personal income taxes and other taxes arising from amounts paid hereunder unless otherwise expressly agreed in writing.

5. EXPENSES

The Company will reimburse the Field Leader for reasonable, pre-approved, and documented out-of-pocket expenses incurred in connection with the performance of the Services. Reimbursement requires prior written approval by the Company for any individual expense exceeding Amount: .

6. CONFIDENTIALITY

The Field Leader shall maintain in strict confidence all Nonpublic Materials (as defined below) and shall not disclose such materials to any third party without the Company's prior written consent. "Nonpublic Materials" means all information disclosed by the Company or learned by the Field Leader in the course of performing the Services that is not generally available to the public, including client information, case strategies, internal reports, and privileged communications.

The obligations under this Section 6 shall continue during the Term and for Confidentiality Period (years): years after termination or expiration of this Agreement, except to the extent disclosure is required by applicable law, regulation, or valid court order, provided the Field Leader gives the Company prompt written notice of such requirement and cooperates in seeking a protective order or confidential treatment.

7. INTELLECTUAL PROPERTY

Except for the Field Leader's pre-existing intellectual property, to the extent the Field Leader conceives, devises, reduces to practice, authors, or prepares any Work Product (as defined below) in the course of performing the Services, such Work Product shall be the exclusive property of the Company and the Field Leader hereby assigns and agrees to assign to the Company all right, title and interest in and to such Work Product. "Work Product" means inventions, designs, written materials, reports, methodologies and other tangible or intangible results of the Services.

8. INDEPENDENT CONTRACTOR

The Field Leader is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employment relationship, joint venture, agency, partnership, or fiduciary relationship. The Field Leader shall not be entitled to Company employee benefits, and the Field Leader shall be solely responsible for all taxes, withholding, insurance and other benefits applicable to its personnel.

9. INSURANCE

The Field Leader shall maintain, at its own expense, professional liability insurance and commercial general liability insurance with policy limits reasonably acceptable to the Company. Upon request, the Field Leader shall provide certificates of insurance evidencing such coverage and naming the Company as an additional insured where applicable.

10. INDEMNIFICATION

The Field Leader shall indemnify, defend and hold harmless the Company and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) the Field Leader's breach of this Agreement, (b) negligent or willful acts or omissions of the Field Leader in the performance of the Services, or (c) any claim that the Field Leader's services infringe or misappropriate a third party's intellectual property rights.

11. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR CLAIMS ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO THE FIELD LEADER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the Parties at the addresses set forth below or to such other address as a Party designates by written notice to the other Party in accordance with this Section.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: without regard to its conflict of laws principles.

14. ENTIRE AGREEMENT; AMENDMENT; WAIVER

This Agreement, together with any written statements of work or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both Parties. No waiver shall be effective unless in writing and signed by the Party granting the waiver.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely effects the Parties' original intent.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission or scanned copies of signatures shall be binding.

17. ADDITIONAL PROVISIONS

The Parties acknowledge that the Field Leader may perform services for others so long as those services do not create an actual conflict of interest with the Company or violate the Field Leader's confidentiality or other obligations under this Agreement. The Field Leader shall promptly disclose to the Company any potential conflicts of interest.
