LEGAL FIELD LPR FORM

This Limited Power of Representation ("LPR") Agreement is made on by and between Principal Name: with address: (hereinafter "Principal"), and Agent Name: with address: (hereinafter "Agent").

RECITALS

WHEREAS, Principal requires representation in legal field operations, including without limitation document collection, entry on specified premises, communications with third parties, and procedural acts necessary to preserve legal rights and evidence; and

WHEREAS, Agent has represented that Agent possesses the qualifications, experience, and authority to act on behalf of Principal in such matters and Principal desires to appoint Agent to act under the terms set forth in this Agreement; and

WHEREAS, the parties intend that this appointment be limited in scope, duration, and subject to the conditions contained herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Principal and Agent agree as follows:

1. APPOINTMENT AND GRANT OF AUTHORITY

Principal hereby appoints Agent as Principal's limited representative for the purposes described in Section 2 and grants Agent the authority to perform only those acts expressly set forth in this Agreement. The authority granted is fiduciary in nature and shall be exercised in good faith, in the best interests of Principal, and in conformance with applicable law.

2. SCOPE OF AUTHORITY

Agent is authorized, subject to the limitations in Section 3, to do the following on behalf of Principal:

Agent shall not, without the prior written consent of Principal: (a) initiate litigation or submit to binding arbitration on behalf of Principal; (b) execute, modify, or terminate long-term leases or contracts having a term in excess of 12 months; (c) make gifts, transfers, or distributions of Principal's property other than as expressly provided in this Agreement; or (d) undertake any action that would cause Agent to incur criminal liability or that is intentionally fraudulent. Any act beyond the scope of authority is voidable by Principal.

4. TERM

This LPR becomes effective on the Effective Date: and shall continue in effect until the Expiration Date: unless sooner revoked or terminated in accordance with Section 5.

5. REVOCATION AND TERMINATION

Principal may revoke this LPR at any time by providing written notice to Agent as provided in Section 9. Revocation shall not affect the validity of actions taken by Agent in good faith prior to receipt of notice of revocation. This Agreement automatically terminates on the principal's death or adjudicated incapacity, unless otherwise provided by law.

6. DUTIES OF AGENT

Agent shall act reasonably, keep accurate records of actions and expenditures taken in the exercise of authority, provide copies of records to Principal upon reasonable request, and avoid conflicts of interest. Agent shall promptly disclose to Principal any material fact within Agent's knowledge that might affect Principal's decisions with respect to matters covered by this LPR.

7. INDEMNIFICATION AND LIABILITY

Principal shall indemnify and hold Agent harmless from and against any liabilities, claims, losses, and expenses (including reasonable attorneys' fees) incurred by Agent in good faith in the exercise of authority granted by this Agreement, except for liabilities resulting from Agent's willful misconduct or gross negligence. Agent shall not be liable for acts taken in reasonable reliance on documents or advice provided by third parties.

8. COMPENSATION AND EXPENSES

Agent shall be entitled to reimbursement for reasonable out-of-pocket expenses incurred in performing duties under this Agreement. Compensation to Agent, if any, shall be:

All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, nationally recognized overnight carrier, or certified mail, return receipt requested, to the addresses specified below or to such other address as a party may designate in writing.

10. RECORDS AND ACCOUNTING

Agent shall maintain accurate records and accounts of actions taken and funds expended in connection with this LPR and shall make those records available to Principal upon reasonable request. Such records shall be retained for a period of not less than three years following the termination of this Agreement unless otherwise required by law.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its rules governing conflicts of law.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter.

13. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect.

14. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. The parties acknowledge that they have read and understand this Agreement and that they execute it voluntarily and with full knowledge of its significance.
