RECITALS

WHEREAS, Requesting Party seeks access to documents, electronic files, and related materials maintained by Custodian of Records in connection with the matter identified above for a lawful, documented purpose; and

WHEREAS, Custodian of Records is the holder of originals, copies, or electronic versions of client files, work product, correspondence, and other records potentially responsive to this request; and

WHEREAS, the parties desire to set forth their respective obligations, deadlines, costs, confidentiality protections, and procedures for production and return of requested materials.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

1. Definitions

For purposes of this Form, "Requested Materials" means all documents, correspondence, electronic files, metadata, and tangible items described in Section 2; "Producing Party" refers to Custodian of Records; and "Requesting Party" refers to the party identified above who warrants authority to seek such materials.

2. Requested Materials

The Requesting Party specifies the following categories of materials to be produced. Select all that apply and provide a concise description where indicated.

3. Purpose and Use

The Requesting Party represents that the Requested Materials are sought for a lawful purpose directly related to the matter identified above and agrees not to use the materials for any unrelated commercial, political, or harassing purpose. Any use of the materials for litigation, regulatory filings, or disclosure to third parties shall be subject to the confidentiality provisions of Section 5 and any court order or ethical obligation applicable to the Producing Party.

4. Production, Format, and Deadline

Custodian of Records will make a good faith effort to produce responsive materials in one or more of the formats specified below and within the time agreed by the parties. The parties agree the initial production deadline will be: .

5. Confidentiality and Handling

All produced materials shall be treated as Confidential by the Requesting Party to the same extent as the Producing Party treats them in the ordinary course of business, and shall not be disclosed except as required by court order, applicable law, or with prior written consent of the Producing Party. Confidential materials shall be stored securely and access limited to persons with a demonstrable need to know for the purpose set forth in Section 3.

Upon written request, the Requesting Party shall return or certify destruction of originals and copies of Confidential materials within days of such request, except as otherwise required by law or court order.

6. Costs and Charges

The Requesting Party agrees to reimburse the Producing Party for reasonable costs of collection, search, review, redaction, duplication, and electronic processing. Estimated costs shall be provided in writing by the Producing Party and require approval as set forth below.

7. Privilege, Redaction, and Privilege Log

The Producing Party may withhold documents on the grounds of attorney-client privilege, work product doctrine, or other applicable protections. Documents withheld on such grounds shall be identified on a privilege log describing date, author, recipient, and general subject sufficient to permit the Requesting Party to assess the claim of privilege without disclosure of privileged content.

8. Representations and Warranties

Requesting Party represents that it has authority to request the materials and that the request is not for an improper purpose. Custodian of Records represents that, to the best of its knowledge after a reasonable search, it will disclose all non-privileged responsive materials and will provide a privilege log for withheld items. Each party warrants that its execution of this Form is within its powers and does not violate any agreement or fiduciary duty.

9. Indemnity and Remedies

The Requesting Party shall indemnify and hold harmless the Producing Party against any loss, liability, or expense (including reasonable attorneys' fees) arising from unauthorized use, disclosure, or dissemination of produced materials by the Requesting Party or its representatives, except to the extent caused by the Producing Party's breach of this Form.

10. Governing Law

This Form shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified by the parties: . Exclusive venue for any dispute arising out of this Form shall be in courts of that jurisdiction, unless the parties agree otherwise in writing.

11. Entire Agreement

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, understandings, and communications relating to the request and production of the Requested Materials.

12. Severability

If any provision of this Form is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and shall be construed so as to effectuate the original intent to the greatest extent permitted by law.

13. Notices

All notices required or permitted under this Form shall be in writing and delivered to the contact information provided below. Notice is effective upon personal delivery, or three (3) business days after deposit in the United States mail, postage prepaid, addressed to the recipient.

14. Amendments and Waiver; Counterparts

This Form may be amended or modified only by a written instrument executed by both parties. No waiver of any breach shall be effective unless in writing and signed by the party waiving compliance. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
