LEGAL FILING INSTRUCTIONS

This Legal Filing Instructions (the "Instructions") are entered into as of by and between Client Name: with principal address and Filing Agent Name: with address (each a "Party" and together the "Parties").

RECITALS

WHEREAS, Client desires that certain documents, pleadings, notices, and related materials described in these Instructions be prepared and filed with the court or administrative agency specified herein; and

WHEREAS, Filing Agent represents that it possesses the experience, personnel, and authority to prepare, execute, and submit such filings in accordance with applicable procedural rules and deadlines; and

WHEREAS, Client and Filing Agent wish to set forth the specific instructions, limitations, fee arrangements, and authorizations governing the filing process.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 Filing Agent shall prepare, review, and submit the filings described in Section 2, coordinate service of process as instructed, and take commercially reasonable actions necessary to effectuate the filings consistent with applicable rules of procedure. Filing Agent's duties are administrative and procedural; Filing Agent is not providing legal advice by performing filing services unless specifically agreed in a separate written engagement.

1.2 Filing Agent shall use reasonable efforts to meet dates and deadlines provided by Client but shall not be liable for delays caused by the court, agency, other parties, postal or courier services, or circumstances outside Filing Agent's control.

8. REPRESENTATIONS, WARRANTIES, AND INDEMNITY

8.1 Client represents and warrants that it has full power and authority to authorize the filings and to provide the documents and information supplied to Filing Agent. Client further represents that all information and documents furnished are true, complete, and not misleading.

8.2 Client shall indemnify, defend and hold harmless Filing Agent, its affiliates, and their respective officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Client's breach of its representations, or Client's failure to provide accurate or timely information, except to the extent caused by Filing Agent's gross negligence or willful misconduct.

9. CONFIDENTIALITY

9.1 Each Party agrees to maintain in confidence and not disclose to third parties any non-public information received from the other Party in connection with these Instructions, except as required by law, court order, or to perform the filing services described herein. Filing Agent may disclose information to third-party service providers to the extent necessary to accomplish the filing, provided that Filing Agent remains responsible for such providers' compliance with confidentiality obligations.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 These Instructions may be amended only by a written instrument executed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.

10.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by facsimile, electronic image, or other electronic means that reproduce an original signature shall have the same force and effect as original signatures.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 Governing Law. These Instructions shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Parties: without regard to conflicts of law principles.

11.2 Entire Agreement. These Instructions constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior agreements and understandings, written or oral, relating to such subject matter.

11.3 Severability. If any provision of these Instructions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. CERTIFICATION

Client certifies that the information provided in and attached to these Instructions is true, correct and complete to the best of Client's knowledge and that Client has authority to instruct Filing Agent as set forth herein. Client agrees to promptly notify Filing Agent of any changes to the information supplied.
