LEGAL FINAL RECEPTION ACT

This Legal Final Reception Act (the "Act") is made effective as of by and between Client Name: whose principal place of business or address is (hereinafter "Client"), and Contractor Name: whose principal place of business or address is (hereinafter "Contractor"). Client and Contractor are collectively referred to as the "Parties."

RECITALS

WHEREAS, the Parties entered into a written contract identified as Contract Number: for the performance of certain work and delivery of deliverables described below; and

WHEREAS, Contractor has completed the Work described in the Contract to the standards required therein and has provided documentation of completion, statutory releases, and other deliverables required for Final Reception; and

WHEREAS, Client has inspected the Work and, subject to the terms set forth herein, is prepared to accept final reception and to authorize final payment and releases as set forth in this Act.

NOW, THEREFORE

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Act: "Contract" means the written agreement identified above including all change orders and approved modifications; "Work" means all labor, materials, equipment, services and deliverables performed or furnished by Contractor under the Contract; "Final Reception" means Client's definitive acceptance of the Work as complete in accordance with the Contract.

3. FINAL RECEPTION AND ACCEPTANCE

Client hereby certifies that, as of Final Acceptance Date: the Work has been inspected and is accepted as having reached Final Reception subject to the limited exceptions identified in Section 3.2 below. Acceptance is conclusive evidence that the Work was substantially completed and that Contractor has fulfilled its obligations under the Contract except for remaining obligations expressly preserved in this Act.

3.1 Contractor shall complete any remaining punchlist items within the shorter of the time specified by the Contract or thirty (30) days of Final Acceptance Date, subject to excusable delays. Completion of such items shall not constitute grounds to withhold final payment in an amount disproportionate to the cost to complete.

4. CERTIFICATE OF FINAL RECEPTION

Upon execution of this Act by both Parties, Client will issue a Certificate of Final Reception stating that Client has accepted the Work as complete. Such certificate shall identify any continuing obligations of Contractor and shall be binding on the Parties for purposes of final payment and release obligations under this Act.

5. FINAL PAYMENT

Client agrees to make Final Payment to Contractor in the amount of within days after execution of this Act and delivery of all required releases, warranties, lien waivers, and closeout documentation. Any retainage held shall be disbursed in accordance with the Contract and applicable law.

6. LIENS, CLAIMS AND RELEASES

Contractor represents and warrants that, except as disclosed in writing to Client prior to the date of this Act, all payments due to subcontractors, suppliers, and laborers have been made and that there are no liens, claims, or encumbrances outstanding against the Work or the Project. Contractor shall deliver final conditional or unconditional lien releases and waivers and an affidavit of payment as required by the Contract as a precondition to Final Payment.

7. WARRANTIES; SURVIVAL

Contractor expressly warrants that the Work complies with the Contract requirements and is free from defects in workmanship and materials for the period specified in the Contract. All warranties and obligations that by their nature survive final acceptance shall survive the execution of this Act and Final Payment.

8. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and its officers, agents and employees from and against any and all claims, demands, liabilities, losses, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of or relating to the performance of the Work, except to the extent caused by the gross negligence or willful misconduct of Client.

9. NOTICES

Any notice required or permitted under this Act shall be in writing and delivered to the addresses set forth above or to such other address as either Party may designate by written notice. Notices shall be effective upon personal delivery, three (3) days after deposit in the mail by certified mail, or one (1) day after deposit with an overnight courier service.

10. AMENDMENTS AND WAIVER

No term or provision of this Act may be amended or waived except by an instrument in writing signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.

11. GOVERNING LAW

This Act shall be governed by and construed in accordance with the substantive laws of the jurisdiction governing the Contract without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the courts of such jurisdiction for any dispute arising under this Act.

12. ENTIRE AGREEMENT

This Act, together with the Contract and all documents incorporated therein by reference, constitutes the entire agreement between the Parties with respect to Final Reception and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral.

13. SEVERABILITY

If any provision of this Act is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect and shall be interpreted so as to carry out the intent of the Parties to the greatest extent permitted by law.

14. COUNTERPARTS; AUTHORITY

This Act may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Each signatory represents and warrants that such person has full authority to execute and deliver this Act on behalf of the Party for which they sign.

15. CERTIFICATION

By signing below, each Party certifies that it has read this Act, that the representations contained herein are true and accurate, and that it accepts Final Reception of the Work subject to the terms of this Act.
