LEGAL FLAT FEE RETAINER AGREEMENT

This Legal Flat Fee Retainer Agreement (the Agreement) is made as of Effective Date: by and between Client Name: ("Client") and Law Firm Name: ("Law Firm"). Client and Law Firm are collectively referred to herein as the Parties.

RECITALS

WHEREAS, Client seeks legal services in connection with the matter described below and desires to retain Law Firm on a flat fee basis; and

WHEREAS, Law Firm represents that it has the experience and capability to provide such legal services and is willing to provide those services under the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth in writing their respective rights and obligations.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Parties agree as follows:

1. ENGAGEMENT

Client hereby retains Law Firm, and Law Firm accepts such engagement, to provide legal services in connection with the matter described as: Law Firm's authority to act shall be limited to the performance of the services expressly set forth in this Agreement unless otherwise agreed in writing.

2. SCOPE OF SERVICES

Law Firm will perform the legal services described above and will take reasonable steps to keep Client informed of material developments. Law Firm will not be responsible for services outside this scope unless an amendment to this Agreement is executed by both Parties.

3. FLAT FEE; PAYMENT

Client agrees to pay Law Firm a flat fee of $ (Flat Fee) for the services described herein. The Flat Fee covers attorney time and routine administrative tasks necessary to complete the defined scope of services.

Payment shall be made as follows: Unless otherwise stated, all payments are due within days of invoice. Law Firm may suspend performance if Client fails to timely make any required payment.

4. EXPENSES AND DISBURSEMENTS

The Flat Fee excludes third-party costs and disbursements such as filing fees, expert fees, courier charges, travel, and other out-of-pocket expenses. Client agrees to reimburse Law Firm for such expenses incurred on Client's behalf. Estimated expenses for this matter are:

5. CLIENT COOPERATION AND REPRESENTATIONS

Client shall provide all information, documents, and cooperation reasonably necessary for Law Firm to perform the services. Client represents that all information provided is true and complete to the best of Client's knowledge. Failure to cooperate or misrepresentation may result in termination of this Agreement and forfeiture of any nonrefundable amounts.

6. TERM; TERMINATION

This Agreement commences on the Effective Date and continues until the services are completed or this Agreement is terminated. Either Party may terminate this Agreement upon written notice to the other Party. Client shall remain obligated to pay any fees and expenses incurred prior to termination and any nonrefundable portions of the Flat Fee as set forth herein.

7. REFUNDS AND ADJUSTMENTS

If Law Firm terminates this Agreement without cause, Law Firm will refund a pro rata portion of any unearned Flat Fee, calculated based on the reasonable percentage of work remaining. If Client terminates or breaches, any portion of the Flat Fee designated as nonrefundable shall be retained by Law Firm as liquidated damages as specified here:

8. CONFIDENTIALITY

Law Firm shall maintain the confidentiality of all Client information as required by applicable rules of professional responsibility. Client acknowledges that Law Firm may be required to disclose information by legal process or ethical obligation, in which case Law Firm will give Client prior notice where permitted.

9. CONFLICTS

Law Firm has conducted a conflicts check based on information provided by Client. If a conflict arises after the effective date that prevents continued representation, Law Firm will notify Client and take reasonable steps to avoid or resolve the conflict. Client consents to Law Firm's representation subject to the results of any further conflicts investigation.

10. FILES AND DOCUMENT RETENTION

Upon conclusion of the representation, Law Firm may retain the Client file in accordance with Law Firm's retention policies. Law Firm may destroy physical and electronic files after a retention period of unless Client requests delivery of the file in writing and pays reasonable copying and delivery costs.

11. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Law Firm's liability to Client for any claim arising out of this engagement shall be limited to actual direct damages not to exceed the amount of the Flat Fee paid by Client under this Agreement. Under no circumstances shall Law Firm be liable for consequential, incidental, or punitive damages.

12. DISPUTE RESOLUTION

The Parties shall attempt in good faith to resolve any dispute arising under this Agreement through negotiation between the Parties. If negotiation fails, the Parties agree to submit the dispute to binding arbitration administered by a neutral arbitrator selected by mutual agreement. The arbitrator shall apply the substantive law of the governing jurisdiction and award may be entered in any court of competent jurisdiction.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state chosen by the Parties. Governing State: Venue for any judicial proceeding shall lie in a court of competent jurisdiction of that state.

14. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY

This Agreement contains the entire understanding of the Parties regarding the subject matter hereof and supersedes all prior agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both Parties. The failure of either Party to enforce any provision shall not be deemed a waiver. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

15. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either Party may designate by written notice.

16. AMENDMENTS AND COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding and enforceable.

17. ACKNOWLEDGMENTS

Client acknowledges that Client has read this Agreement, has had the opportunity to ask questions, and has had the opportunity to consult with independent counsel. Client agrees that execution of this Agreement constitutes informed consent to the terms herein.
