LEGAL FOURTH SCHEDULE

RECITALS

WHEREAS, the parties entered into that certain Master Services Agreement dated (the Master Agreement) which establishes the general terms and conditions governing the provision of services between the parties;

WHEREAS, the parties desire to set forth in this Fourth Schedule the specific services, service levels, fees and billing terms applicable to certain Deliverables identified herein; and

WHEREAS, unless otherwise defined herein, capitalized terms used in this Schedule shall have the meanings given to them in the Master Agreement.

NOW THEREFORE, in consideration of the mutual covenants set forth herein and in the Master Agreement, the parties agree as follows:

1. SCOPE OF SCHEDULE

1.1 Services. Party A shall provide the Services described in the following Service Description. The Services shall be provided in accordance with the terms of the Master Agreement and this Schedule.

2. TERM

2.1 Schedule Term. The term of this Schedule shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Schedule or the Master Agreement.

3. FEES AND PAYMENT

3.1 Fees. In consideration for the Services, Party B shall pay the Fees described below. All Fees are exclusive of taxes unless otherwise stated.

4. SERVICE LEVELS

4.1 Performance Objectives. Party A shall use commercially reasonable efforts to meet the service levels set forth below. Failure to meet a service level shall entitle Party B to the remedies specified in this Section, subject to any limitations in the Master Agreement.

5. CHANGE ORDERS

5.1 Procedure. Any change to the Services, fees or schedule shall be documented in a written change order executed by authorized representatives of both parties. Unless otherwise agreed in a signed change order, Party A shall have no obligation to implement changes.

6. CONFIDENTIALITY AND DATA

6.1 Confidential Information. Each party shall protect Confidential Information disclosed under this Schedule in accordance with the confidentiality provisions of the Master Agreement. The parties acknowledge that Service Data and Customer Data shall be subject to the Data Processing provisions of the Master Agreement.

7. INTELLECTUAL PROPERTY

7.1 Ownership. Except as expressly set forth in this Schedule or the Master Agreement, each party retains all right, title and interest in and to its pre-existing Intellectual Property. Any deliverable specifically developed for Party B under this Schedule shall be handled pursuant to the Master Agreement's intellectual property provisions.

8. TERMINATION

8.1 Termination for Convenience. Either party may terminate this Schedule for convenience by providing the other party with written notice at least Termination Notice Period: days prior to the effective date of termination.

8.2 Termination for Material Breach. Either party may terminate this Schedule for material breach in accordance with the Master Agreement. Termination of the Master Agreement terminates this Schedule.

9. LIABILITY; INDEMNIFICATION

9.1 Indemnity. Each party's indemnification obligations with respect to claims arising out of the Services provided under this Schedule shall be as set forth in the Master Agreement, including any limitations on liability and exclusions.

10. NOTICES

10.1 All notices relating to this Schedule shall be given in writing and delivered in accordance with the Notices provision of the Master Agreement or to the addresses below.

11. GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

12. ENTIRE AGREEMENT

This Schedule, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

13. AMENDMENTS

No amendment or modification of this Schedule shall be binding unless in writing and signed by authorized representatives of both parties.

14. WAIVER

The failure of either party to enforce any right or remedy under this Schedule shall not constitute a waiver of such right or remedy or any other right or remedy.

15. SEVERABILITY

If any provision of this Schedule is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Schedule shall remain in full force and effect.

16. COUNTERPARTS

This Schedule may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be binding.
