LEGAL FRAUD ACKNOWLEDGEMENT FORM

This Legal Fraud Acknowledgement Form (the "Agreement") is made as of Effective Date: , by and between Client Name: with address (the "Acknowledging Party"), and Company Name: with address (the "Company").

RECITALS

WHEREAS, the Company maintains policies and procedures intended to detect, prevent and respond to acts of fraud, misrepresentation, theft, or other misconduct affecting the Company's operations or assets; and

WHEREAS, the Acknowledging Party is a person or entity that provides information, documentation or access to systems and acknowledges obligations to report and cooperate with respect to suspected or actual fraud; and

WHEREAS, the parties desire to record acknowledgements, representations, reporting obligations and consent to disclosure in connection with suspected or confirmed fraudulent activity.

NOW, THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Fraud" means any intentional act or omission, including misrepresentation, concealment, forgery, theft, falsification of records or documents, unauthorized use of assets or information, or any scheme to obtain money, property or other benefit by deception or other wrongful means.

1.2 "Protected Information" means all records, documents, electronic files, access credentials and other materials reasonably related to a transaction or matter under review for which the Company or a third party asserts a legitimate interest in preserving confidentiality or evidentiary value.

2. ACKNOWLEDGEMENT OF POLICY

The Acknowledging Party acknowledges receipt of the Company's fraud prevention and reporting policy and confirms that the Acknowledging Party has read, understands, and will comply with the obligations set forth therein. The Acknowledging Party further acknowledges that failure to comply with such policy may result in disciplinary action, civil liability and/or criminal prosecution.

3. REPRESENTATIONS AND WARRANTIES

The Acknowledging Party represents and warrants to the Company that: (a) all information, statements and documents provided by the Acknowledging Party to the Company in connection with the matters contemplated by this Agreement are true, complete and accurate to the best of the Acknowledging Party's knowledge; (b) the Acknowledging Party will not knowingly provide false or misleading information; and (c) the Acknowledging Party will promptly notify the Company in writing upon discovery of any error, omission or inaccuracy that might constitute or contribute to Fraud.

4. REPORTING OBLIGATIONS

The Acknowledging Party shall promptly report to the Company any reasonable suspicion of Fraud, including the identity of persons involved, the nature of the suspected misconduct and any supporting documentation. Reports shall be made in writing within a commercially reasonable time, and when circumstances permit, within five (5) business days of discovery.

5. COOPERATION AND INVESTIGATION

The Acknowledging Party agrees to cooperate fully and in good faith with any internal or external investigation of suspected Fraud. Cooperation includes, without limitation, preserving and providing access to records and documents, providing truthful testimony and statements, and making available personnel with relevant knowledge. The Acknowledging Party consents to the Company's collection and use of information reasonably necessary to investigate and respond to allegations.

6. PRESERVATION OF RECORDS

The Acknowledging Party shall preserve all Protected Information and relevant records for the period set forth by applicable law or, if none, for a minimum retention period of , or until otherwise notified in writing by the Company.

7. CONSENT TO DISCLOSURE

The Acknowledging Party expressly authorizes the Company to disclose information, including Protected Information, to law enforcement, regulators, auditors, insurers, credit reporting agencies, or other third parties when such disclosure is reasonably necessary to investigate, prevent, report or remediate Fraud, or when required by law. Such disclosures shall be made in a manner consistent with applicable privacy and data protection obligations.

8. REMEDIES; INJUNCTIVE RELIEF; INDEMNIFICATION

The Company may pursue all available remedies, including civil claims, equitable relief, restitution and criminal referral. The Acknowledging Party agrees to indemnify, defend and hold the Company harmless from and against any losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from the Acknowledging Party's breach of this Agreement, willful misconduct or negligent failure to report or cooperate with respect to Fraud.

9. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, punitive or exemplary damages arising out of matters governed by this Agreement. The parties agree that the foregoing limitation shall not apply to indemnification obligations described herein.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by written notice in accordance with this section). Notices are effective upon receipt.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Company as applicable to agreements executed and performed entirely within that jurisdiction. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that effectuates the original intent.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall be deemed a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
