LEGAL GIFT ACCEPTANCE FORM

This Legal Gift Acceptance Agreement (the "Agreement") is made effective as of by and between Donor Name: (the "Donor"), and Recipient Name: (the "Recipient").

RECITALS

WHEREAS, the Donor desires to transfer and make a gift to the Recipient certain property or assets described below (the "Gift") for the benefit of the Recipient's mission; and

WHEREAS, the Recipient has authority to accept gifts and intends to accept the Gift subject to the terms, representations, warranties and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Gift in writing.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Gift" means the property described in Section 2. "Effective Date" means the date set forth above. "Restricted Gift" means any Gift accepted by the Recipient subject to specific, documented conditions or limitations imposed by the Donor.

The Donor hereby offers to transfer to the Recipient the following Gift. Select all types that apply and provide the requested details.

3. ACCEPTANCE; RESTRICTIONS; USE

The Recipient hereby accepts the Gift subject to the terms and conditions of this Agreement. The Donor declares that the Gift is:

If the restriction cannot be fulfilled, the Recipient will apply the Gift in a manner consistent with the Donor's intent and charitable purposes.

4. DONOR REPRESENTATIONS AND WARRANTIES

The Donor represents and warrants to the Recipient that: (a) the Donor is the sole legal and beneficial owner of the Gift and possesses full right, power and authority to transfer title to the Gift to the Recipient free and clear of any liens, claims, encumbrances or restrictions except as disclosed in writing to the Recipient; (b) the execution, delivery and performance of this Agreement by the Donor does not violate any agreement, law or court order applicable to the Donor; and (c) all information and documents provided to the Recipient concerning the Gift are true, accurate and complete to the Donor's knowledge.

5. CONDITIONS TO ACCEPTANCE; APPRAISAL

Acceptance of certain Gifts may be conditioned upon receipt of satisfactory documentation, clear title, appropriate appraisal, environmental reports, or board approval. The Donor agrees to provide, at the Donor's expense, any appraisal or documentation required by law or requested by the Recipient for its records.

6. TAX REPORTING AND RECEIPT

The Recipient will provide the Donor with a written acknowledgment of the Gift in accordance with applicable law. The Donor acknowledges that the Recipient does not provide tax, legal, or accounting advice and that any statement by the Recipient regarding tax consequences is not a representation or warranty. The Donor is solely responsible for determining the tax consequences of the Gift and for obtaining any required appraisals or substantiation for tax reporting purposes.

7. PUBLICITY; ANONYMITY

The Donor authorizes the Recipient to acknowledge the Donor publicly for the Gift unless the Donor has requested anonymity. Select applicable option:

The Donor shall indemnify, defend and hold harmless the Recipient and its officers, directors, employees and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the Donor's representations, warranties or obligations under this Agreement or from any third-party claim relating to the Gift prior to transfer of title to the Recipient.

9. LIMITATION OF WARRANTIES

Except as expressly stated in Section 4, the Donor provides no other warranties, express or implied, including without limitation any warranty of merchantability or fitness for a particular purpose. The Recipient's acceptance of the Gift is contingent upon the Donor's representations and the documentation provided to the Recipient.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or overnight courier. Notices shall be effective upon receipt.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Recipient is organized, without regard to conflicts of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements concerning the Gift. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by any party in exercising any right under this Agreement will constitute a waiver. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one and the same instrument.
