GOVERNMENT SERVICE AGREEMENT

RECITALS

WHEREAS, Party A has statutory authority to procure or provide the services described herein and to enter into this Agreement through its authorized representative; and

WHEREAS, Party B represents that it has the experience, personnel, resources and legal authority to provide the services described in Section 2 (the "Services") and agrees to perform such Services in accordance with the terms and conditions of this Agreement; and

WHEREAS, the Services will be funded as set forth in Section 4 and performance is subject to available appropriations or funding authorization.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:

1. DEFINITIONS

Unless otherwise defined herein, capitalized terms shall have the meanings set forth in this Section. "Confidential Information" means non-public information disclosed by a party that is identified as confidential or that by its nature a reasonable person would consider confidential. "Deliverables" means tangible or electronic items to be delivered to Party A under this Agreement as described in Section 2.

2. SCOPE OF SERVICES

Party B shall provide the Services described in the Statement of Work attached hereto or described below. Services shall conform to the standards of performance and schedules stated in this Agreement. Describe Services:

3. TERM; TERMINATION

The term of this Agreement commences on Effective Date and continues until completion of the Services unless earlier terminated as provided herein. The initial term shall be for a period of . 5. RECORDS; AUDIT RIGHTS

Party B shall maintain complete and accurate books, records and supporting documentation related to performance and costs under this Agreement for a period of at least following final payment. Party A and/or its authorized representatives shall have the right to audit such records upon reasonable notice during normal business hours.

6. CONFIDENTIALITY; PUBLIC RECORDS

To the extent permitted by law, each party shall protect Confidential Information from unauthorized use or disclosure. Notwithstanding the foregoing, disclosure of records may be required by applicable public records laws; in such event Party A will provide Party B reasonable notice when disclosure is compelled by law to allow Party B to seek protective relief where available.

7. COMPLIANCE WITH LAWS

Each party shall comply with all federal, state and local laws, rules and regulations applicable to its performance under this Agreement, including procurement, employment and nondiscrimination laws. Party B shall obtain and maintain all licenses and permits necessary to perform the Services.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of its negligence or willful misconduct in performing this Agreement. Except to the extent prohibited by law, neither party shall be liable to the other for special, incidental, consequential or punitive damages.

9. INSURANCE

Party B shall maintain insurance coverage reasonably appropriate to the scope of Services, including commercial general liability, professional liability and workers' compensation as required by law. Upon request, Party B will furnish certificates of insurance to Party A.

10. NOTICES

All formal notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or registered mail to the addresses set forth below, or as updated by written notice to the other party.

11. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement of that provision or any other provision.

12. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Party A is established, without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly through negotiation between designated representatives. If unresolved, disputes shall be resolved through the forum specified by Party A's procurement rules or applicable law.

13. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any attachments and exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument. Signatures transmitted by electronic means shall be deemed binding.

15. CERTIFICATIONS AND AUTHORITY

Each party represents and warrants that (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the individual signing on its behalf is duly authorized to bind the party; and (c) execution of this Agreement does not violate any other agreement or law.
