LEGAL GPS TRACKING AGREEMENT

This GPS Tracking Agreement (the "Agreement") is entered into as of , by and between Client Name: (hereinafter "Owner") and Service Provider Name: (hereinafter "Provider"). Owner and Provider may be referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Owner is the registered owner or authorized controller of the vehicle or asset described in this Agreement and seeks to obtain GPS tracking services for lawful monitoring, security, and fleet management purposes;

WHEREAS, Provider operates a GPS tracking program and possesses the hardware, software, and technical expertise to provide real-time location, historical route, and ancillary telematics data (collectively, "Tracking Services");

WHEREAS, the Parties desire to set forth the terms and conditions under which Provider will install, operate, and maintain the GPS device and deliver Tracking Services to Owner.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Device" means the GPS hardware provided or approved by Provider and installed on Owner's vehicle or asset, including any integrated sensors and associated power supplies. 1.2 "Data" means location coordinates, timestamps, route history, speed, diagnostic codes, and other telematics information collected by the Device. 1.3 "Authorized Users" means those natural persons or business entities expressly designated by Owner in writing to access Data via Provider's interface.

2. GRANT OF RIGHTS; SCOPE OF SERVICES

Provider shall provide installation, maintenance, monitoring, and data access services necessary for the operation of the Device and delivery of Tracking Services. Provider grants Owner a non-exclusive, non-transferable right to access Data for Owner's internal business, safety, and security purposes in accordance with this Agreement. Provider retains all other rights in its software and platform.

3. DEVICE INSTALLATION AND ACCESS

3.1 Installation. Provider shall install the Device at the location agreed by the Parties or, if agreed, shall provide Owner with instructions for Owner-authorized installation. Device Serial/ID: . Vehicle make/model: . Vehicle VIN: .

3.2 Access. Provider shall have reasonable access to the Device for maintenance and diagnostics upon prior notice to Owner, except in emergencies. Owner shall not tamper with, remove, or disable the Device except as expressly permitted in writing by Provider.

4. DATA COLLECTION, USE, AND PRIVACY

4.1 Collection and Retention. Provider will collect Data necessary to deliver Tracking Services. Provider will retain Data for a period of days unless otherwise required or permitted by law. Provider will maintain commercially reasonable administrative, physical, and technical safeguards to protect Data.

4.2 Use and Disclosure. Provider may use Data to provide services, perform analytics, and enforce this Agreement. Provider shall not sell Owner's personally identifiable information. Provider may disclose Data to law enforcement or other third parties where required by law or pursuant to a valid legal process, or to respond to imminent threats to safety.

4.3 Owner Representations. Owner represents and warrants that Owner has the legal right to permit tracking of the subject vehicle or asset and that Owner will use Tracking Services in compliance with applicable laws and will obtain any required consents from drivers or occupants.

5. RESTRICTIONS AND PROHIBITED USE

Owner shall not use Tracking Services for illegal surveillance, stalking, or to deprive any person of statutory rights. Owner shall not reverse-engineer Provider's systems or attempt unauthorized access. Provider may suspend services if Owner's use creates legal exposure or violates this Agreement.

6. FEES; PAYMENT; TAXES

6.1 Fees. Owner shall pay Provider the fees set forth in this Section. Recurring service fee: $ per . Installation fee (if applicable): $.

6.2 Payment Terms. Fees are due within thirty (30) days of invoice unless otherwise agreed in writing. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum allowed by law. Owner is responsible for all applicable taxes, excluding taxes based on Provider's net income.

7. TERM; TERMINATION

This Agreement shall commence on the Effective Date and continue for an initial term of months (the "Term"), and shall automatically renew for successive terms of equal length unless either Party provides written notice of non-renewal at least days prior to the end of the then-current term.

Either Party may terminate this Agreement for material breach by the other Party that remains uncured thirty (30) days after written notice specifying the breach. Provider may suspend service immediately upon reasonable belief of unlawful use or a material threat to Provider's network or personnel.

8. LIMITATION OF LIABILITY; INDEMNIFICATION

8.1 Limitation of Liability. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY OWNER TO PROVIDER UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

8.2 Indemnification. Owner shall defend, indemnify, and hold harmless Provider and its officers, directors, and employees from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from Owner's misuse of Tracking Services, breach of Owner's representations, or violation of applicable law.

9. CONFIDENTIALITY

Each Party agrees to maintain the confidentiality of the other Party's Confidential Information and not to use or disclose such information except as necessary to perform under this Agreement or as required by law. Confidential Information includes non-public Data, pricing, and technical details of the Device and platform.

10. NOTICES

All notices under this Agreement must be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses below. Notice to Owner:

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both Parties. No failure or delay in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within the selected state for any disputes arising out of this Agreement.

13. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. MISCELLANEOUS PROVISIONS

14.1 Assignment. Neither Party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of Provider's assets. 14.2 Insurance. Owner shall maintain appropriate insurance for the vehicle or asset and shall provide proof of insurance upon request.
