WHEREAS, the parties desire to set forth the roles, responsibilities, review processes, confidentiality obligations, and enforcement mechanisms governing the Guidelines;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

1.1 Definitions. For purposes of this Agreement, the following terms have the meanings set forth below unless the context otherwise requires:

2.2 Scope. These Guidelines apply to all directors, officers, managers, employees, and agents of Company and any third party retained to perform material legal services on behalf of Company. Exceptions to scope may be granted only in writing by the Chief Legal Officer or other authorized delegate.

5.1 Confidential Information. Each party acknowledges that, in the course of performance, it may receive Confidential Information. "Confidential Information" means non-public business, financial, technical, or legal information disclosed in any form.

5.2 Protection. The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential materials but no less than a reasonable standard of care, and shall not disclose such information except to persons with a need to know and who are bound to confidentiality obligations at least as protective as those hereunder.

6. IMPLEMENTATION, TRAINING, AND RECORDKEEPING

6.1 Implementation. Company will adopt the Guidelines through formal approval by authorized management and will publish the Guidelines to applicable employees and contractors.

8.1 Enforcement. Violations of the Guidelines may result in remedial action including corrective measures, disciplinary action up to and including termination, and recovery of losses where appropriate.

9.1 Review Cycle. The Guidelines shall be reviewed at least every and updated as necessary to reflect legal or business changes.

9.2 Amendment. Any amendment to the Guidelines must be made in writing, approved by authorized representatives of both parties, and attached to this Agreement as an amendment exhibit upon execution.

10. NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below. Notices are effective upon personal delivery, or three (3) business days after deposit with a nationally recognized courier service, or on the date of confirmed electronic transmission to the designated email address.

11. DISPUTE RESOLUTION

11.1 Escalation and Mediation. In the event of a dispute arising out of or relating to these Guidelines, the parties shall first attempt to resolve the dispute through good faith negotiation. If unresolved within thirty (30) days, the parties agree to submit the dispute to non-binding mediation conducted by a mutually agreed mediator in the jurisdiction specified in Section 13.

11.2 Remedies. Nothing in this Section shall preclude either party from seeking injunctive or other equitable relief where necessary to prevent irreparable harm or to preserve the status quo pending mediation or other dispute resolution.

12. MISCELLANEOUS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by Company: , without regard to conflict of laws principles.

12.2 Entire Agreement. These Guidelines constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, or understandings, written or oral, relating thereto.

12.3 Severability. If any provision of these Guidelines is held to be invalid or unenforceable in whole or in part, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

12.4 Amendments and Waiver. No amendment, modification, or waiver of any provision of these Guidelines shall be effective unless in writing and signed by authorized representatives of both parties. No course of conduct shall constitute a waiver of any rights hereunder.

12.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be considered an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed originals for all purposes.
