Legal HAP Contract

This Housing Assistance Payments Contract (the "Contract") is entered into on Effective Date: by and between Housing Agency Name: with mailing address: (hereinafter "Housing Agency"), and Owner Name: with mailing address: (hereinafter "Owner").

RECITALS

WHEREAS, Owner is the legal owner of the dwelling unit located at Unit Address: (the "Unit"); and

WHEREAS, Housing Agency administers a housing assistance payments program under which the Housing Agency will make housing assistance payments on behalf of eligible families to assist such families to rent decent, safe, and sanitary dwelling units; and

WHEREAS, Owner desires to lease the Unit to Tenant Name: under the terms set forth in this Contract and the Lease;

NOW, THEREFORE

In consideration of the mutual covenants contained herein, and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Contract, the following terms have the meanings set forth below:

a. "Contract Rent" means the total monthly rent payable for the Unit as set forth below: Contract Rent: $ .

b. "Subsidy" or "HAP Payment" means the monthly housing assistance payment payable by the Housing Agency to the Owner on behalf of the Tenant: Monthly HAP Payment: $ .

2. TERM

This Contract shall commence on Commencement Date: and shall expire on Expiration Date: , unless earlier terminated in accordance with Section 12 (Termination) or otherwise extended in writing by mutual agreement of the parties.

3. PAYMENT OF HOUSING ASSISTANCE PAYMENTS

3.1 The Housing Agency shall make HAP Payments to Owner in accordance with program regulations and this Contract. Payments shall be made no later than Payment Day: of each calendar month, for the preceding month, subject to availability of funds and compliance by Owner with obligations herein.

3.2 The Housing Agency's obligation to make HAP Payments is contingent upon Tenant's continued eligibility and the Housing Agency's receipt of appropriated funds. The Housing Agency shall not be liable for payments beyond the termination date of this Contract.

4. OWNER OBLIGATIONS

4.1 Owner shall maintain the Unit in accordance with applicable habitability standards, perform all repairs required to keep the Unit in decent, safe, and sanitary condition, and comply with the terms of the Lease. Owner shall not demand or accept any housing assistance payment from Tenant that duplicates amounts payable under this Contract.

4.2 Owner shall comply with all applicable federal, state, and local laws, ordinances, building codes and regulation pertaining to the ownership and operation of the Unit, including but not limited to nondiscrimination laws.

5. HOUSING AGENCY OBLIGATIONS

5.1 The Housing Agency shall make HAP Payments to Owner in accordance with this Contract and applicable program regulations provided Owner is in compliance with the terms of this Contract and the Lease.

5.2 The Housing Agency shall inspect the Unit in accordance with its inspection policies and shall notify Owner of any deficiencies. The Housing Agency's failure to inspect shall not relieve Owner of its maintenance obligations.

Unless otherwise agreed in the Lease, Owner shall provide the following utilities and services:

Owner shall permit the Housing Agency, its agents, and authorized representatives to inspect the Unit during reasonable hours with advance notice, except in emergencies. Inspections shall be conducted to verify lease compliance and acceptable living conditions.

8. TERMINATION

8.1 This Contract may be terminated by the Housing Agency for cause, including but not limited to Owner's breach of material obligations, fraud, or failure to maintain the Unit. Termination for cause shall be effective upon written notice to Owner specifying the grounds and effective date of termination.

8.2 Owner may terminate this Contract only as permitted under the Lease and applicable program regulations and upon providing the Housing Agency and Tenant with written notice as required by law.

9. DEFAULT AND REMEDIES

In the event of Owner's default under this Contract, the Housing Agency may pursue available remedies, including suspension of HAP Payments, offsets against future payments, termination of the Contract, and any other remedies available at law or equity. The Housing Agency shall provide Owner with written notice of default and a reasonable period to cure where required by law.

10. RECORDS, AUDITS AND ACCESS

Owner shall maintain complete and accurate books and records related to this Contract for a period of not less than three (3) years after final payment or such longer period as required by applicable law. The Housing Agency and its authorized representatives shall have the right to inspect, copy, and audit such records during reasonable business hours upon prior notice.

11. INDEMNIFICATION AND INSURANCE

Owner shall indemnify, defend, and hold harmless the Housing Agency, its officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Owner's negligence, willful misconduct, or breach of this Contract, except to the extent caused by the Housing Agency's negligence or willful misconduct.

12. ASSIGNMENT

Owner shall not assign its rights or delegate its obligations under this Contract without the prior written consent of the Housing Agency. Any purported assignment without such consent shall be void and shall constitute a material breach of this Contract.

13. NOTICES

All notices required or permitted under this Contract shall be in writing and shall be effective upon delivery by hand, by recognized overnight courier, or by first-class mail to the addresses set forth below or to such other address as a party may designate by written notice to the other party.

14. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Contract shall be effective unless executed in writing by both parties. The failure of either party to enforce any provision of this Contract shall not constitute a waiver of future enforcement of that or any other provision.

15. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of: without regard to its conflict of law principles.

16. ENTIRE AGREEMENT

This Contract, together with the Lease and any attachments incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

17. SEVERABILITY

If any provision of this Contract is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the invalid, illegal or unenforceable provision shall be replaced by a valid, legal and enforceable provision that most closely reflects the parties' original intent.

18. COUNTERPARTS

This Contract may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

CERTIFICATIONS

Owner certifies that Owner has not been debarred, suspended, or otherwise prohibited from participating in federal assistance programs, and acknowledges that false certifications may result in termination of this Contract and recovery of funds.
