LEGAL HELPLINE WAIVER

This Legal Helpline Waiver (the "Waiver") is made and entered into on this date: by and between Client Name: and Helpline Provider Name: (collectively, the "Parties").

RECITALS

WHEREAS, Provider operates a legal helpline to provide general legal information, referrals, and limited non-litigation assistance to individuals and organizations; and

WHEREAS, Client desires to receive communications, advice, and information from Provider through the legal helpline, and acknowledges the limited scope of such assistance; and

WHEREAS, the Parties wish to set forth the terms under which Client receives helpline services and to allocate responsibilities, risks, and liabilities between them.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Waiver, the following terms shall have the meanings set forth: "Services" means the legal information, guidance, triage, referral and limited legal assistance provided by Provider through telephone, electronic, or written communications; "Confidential Information" means information expressly designated as confidential or that a reasonable person would understand to be confidential under the circumstances.

2. SCOPE OF SERVICES

Provider will deliver Services as described in this Waiver. Client acknowledges that Services may include general legal information, analysis of facts as presented by Client, advice on procedural options, and referrals to attorneys or other resources. Services do not include representation in litigation, formal legal representation in administrative proceedings, preparation of substantive court filings on behalf of Client, or continuous legal representation unless a separate written retainer agreement is executed.

3. NO ATTORNEY-CLIENT RELATIONSHIP

Client understands and agrees that receipt of Services under this Waiver does not, by itself, create an attorney-client relationship between Client and Provider or any individual employed or retained by Provider, except where a separate written engagement letter signed by both Parties expressly establishes such a relationship. No communications provided during general helpline interactions are privileged unless a formal, written engagement is entered into that expressly states privilege applies.

4. CONFIDENTIALITY; LIMITS ON CONFIDENTIALITY

Provider will treat information provided by Client as confidential to the extent permitted by law. Client acknowledges that confidentiality may be limited by applicable law, including mandatory reporting obligations, duties to prevent foreseeable harm, and court orders. Client agrees not to provide extraordinarily sensitive personal data unless necessary and acknowledges that Provider may, at its discretion, record or retain summaries of communications for training, quality assurance, or compliance purposes.

5. DISCLAIMER OF LEGAL ADVICE

Client acknowledges that certain information provided through the helpline may be general in nature. To the extent any recommendations are given, Client accepts that such recommendations are based solely on the facts as set forth by Client and are not a substitute for retaining counsel for representation. Provider disclaims any warranty, express or implied, regarding the outcome of any action taken by Client as a result of Services.

6. ASSUMPTION OF RISK AND WAIVER OF CLAIMS

To the fullest extent permitted by law, Client hereby releases, waives, and forever discharges Provider, its officers, directors, employees, contractors, and agents from any and all claims, demands, liabilities, losses, damages, or causes of action of any kind arising out of or relating to the provision of Services, except for willful misconduct or gross negligence by Provider. Client acknowledges the voluntary nature of this Waiver and that Client has had the opportunity to seek independent legal advice.

7. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Provider from and against any losses, damages, liabilities, claims, or expenses (including reasonable attorneys' fees) arising out of Client's breach of this Waiver, misuse of Services, or reliance on third-party information obtained through a referral made by Provider.

8. FEES; PAYMENT

The Parties agree that the helpline Services shall be provided on the following basis: Fee Structure: . If fees are due, Client agrees to pay amounts invoiced within days of invoice. Failure to pay when due may result in suspension of Services.

9. TERMINATION

Either Party may terminate this Waiver upon written notice to the other Party. Provider may immediately suspend or terminate Services if Client engages in abusive conduct, provides false or misleading information, or otherwise breaches this Waiver. Termination will not relieve Client of obligations that accrued prior to termination, including payment obligations and indemnity duties.

10. NOTICES

All notices required or permitted under this Waiver shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or electronic mail where receipt is confirmed. Notice to Client:

11. GOVERNING LAW; VENUE

This Waiver shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law rules. The Parties submit to the exclusive jurisdiction of the state and federal courts located in the county where Provider maintains its principal office for resolution of disputes arising under this Waiver.

12. ENTIRE AGREEMENT; SEVERABILITY

This Waiver constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. If any provision of this Waiver is held to be invalid or unenforceable, such provision shall be severed and the remainder of this Waiver shall remain in full force and effect.

13. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Waiver will be effective unless in writing and signed by both Parties. Failure by either Party to enforce any provision of this Waiver shall not constitute a waiver of future enforcement of that or any other provision. This Waiver may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
