RECITALS

5.1 Termination by Client. Client may terminate the engagement at any time upon written notice to Firm. Client shall remain responsible for payment of services performed and expenses incurred through the effective date of termination.

5.2 Withdrawal by Firm. Firm may withdraw with reasonable notice as permitted by applicable rules of professional conduct if withdrawal can be accomplished without material adverse effect on Client's interests, subject to Court approval when necessary.

5.3 Notice Period. Unless otherwise agreed, the terminating party shall provide days' written notice of termination.

6. FILES AND RECORDS

6.1 File Retention. Upon conclusion or termination of the matter, Firm may retain the physical and electronic file materials subject to applicable retention policies. Firm shall retain closed files for a period of unless Client requests transfer of the file in writing.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as a party may designate in writing.

8. AMENDMENTS; WAIVER; COUNTERPARTS
