INDEPENDENT CONTRACTOR AGREEMENT (ICA)

This Independent Contractor Agreement (the Agreement) is entered into as of Effective Date: by and between Company Name: , an entity organized as Corporation LLC Other and Contractor Name: , an entity organized as Individual LLC Other.

RECITALS

WHEREAS, Company engages in the business of providing products and services and requires certain services to be performed by a qualified independent contractor; and

WHEREAS, Contractor has represented that Contractor possesses the experience, skill and professional qualifications to perform the services described herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will provide such services to Company.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Company hereby engages Contractor, and Contractor accepts engagement, to perform the services set forth in the Statement of Work attached hereto as Exhibit A and incorporated herein by reference (the Services). Contractor shall perform the Services in a professional, timely and workmanlike manner in accordance with industry standards.

2. TERM

2.1 Term. The term of this Agreement shall commence on the Effective Date and shall continue for a period of months unless earlier terminated in accordance with Section 9.

3. COMPENSATION; PAYMENT

3.1 Fees. As full compensation for the performance of the Services, Company shall pay Contractor the fees set forth below and in Exhibit A. Fees shall be payable in U.S. dollars as follows:

3.2 Expenses. Contractor shall be responsible for all expenses incurred in performing the Services unless pre-approved in writing by Company. Approved reimbursable expenses shall be reimbursed upon presentation of reasonable documentation.

4. INDEPENDENT CONTRACTOR STATUS

4.1 Relationship. Contractor is engaged as an independent contractor. Nothing in this Agreement shall create an employer-employee, joint venture, partnership, agency or fiduciary relationship. Contractor shall have no authority to bind Company or to incur any obligation on behalf of Company, except as expressly authorized in writing.

4.2 Taxes and Benefits. Contractor shall be solely responsible for payment of all federal, state and local taxes, contributions and other amounts arising from Contractor’s performance of the Services and shall not be eligible for any employee benefits from Company.

5. CONFIDENTIALITY

5.1 Definition. "Confidential Information" means all non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

5.2 Obligations. Contractor shall not use or disclose Confidential Information except as necessary to perform the Services and shall protect Confidential Information with the same degree of care Contractor uses to protect its own confidential information, but in no event less than reasonable care.

6. INTELLECTUAL PROPERTY

6.1 Work Product. All deliverables, inventions, designs, developments, software, documentation, know-how and other work product created, prepared or developed by Contractor pursuant to this Agreement (Work Product) shall be deemed "works made for hire" to the fullest extent permitted by law and shall be the sole and exclusive property of Company. To the extent any Work Product does not qualify as works made for hire, Contractor hereby assigns and agrees to assign to Company all right, title and interest in and to the Work Product.

6.2 Pre-Existing Materials. Contractor shall list any pre-existing materials that Contractor will use in the performance of the Services and does not assign below:

7. REPRESENTATIONS AND WARRANTIES

7.1 Mutual Representations. Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder.

7.2 Contractor Warranties. Contractor warrants that the Services will be performed in a professional and workmanlike manner and that the Work Product will not infringe or misappropriate any third-party intellectual property rights. Contractor shall promptly notify Company in writing of any known or suspected infringement or claim.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Indemnification by Contractor. Contractor shall indemnify, defend and hold harmless Company, its officers, directors and employees from and against any and all claims, damages, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Contractor's negligence, willful misconduct or breach of this Agreement, including any claim of infringement arising from Contractor's performance.

8.2 Limitation of Liability. Except for liability arising from a party's gross negligence, willful misconduct, breach of confidentiality or infringement indemnity obligations, neither party shall be liable to the other for any indirect, incidental, special or consequential damages, and each party's aggregate liability under this Agreement shall not exceed the total fees paid by Company to Contractor under this Agreement during the preceding twelve (12) months.

9. TERMINATION

9.1 Termination for Convenience. Either party may terminate this Agreement for any reason upon days' prior written notice to the other party.

9.2 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

10. INSURANCE

Contractor shall maintain at its expense insurance coverage customary for the Services to be performed, including commercial general liability and, if applicable, professional liability insurance. Contractor shall provide certificates of insurance upon Company’s request specifying policy limits and coverage periods.

11. NOTICES

All notices, demands or other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand, overnight courier, or certified mail, return receipt requested.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended or modified only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of such right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by Company:

If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, the invalid or unenforceable provision shall be severed and the remaining provisions shall remain in full force and effect.

13.3 Entire Agreement. This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral.

14. MISCELLANEOUS

14.1 Assignment. Contractor may not assign this Agreement or any rights hereunder without the prior written consent of Company. Company may assign this Agreement to an affiliate or successor by notice to Contractor.

14.2 Remedies. The parties agree that monetary damages may be insufficient to remedy a breach of certain provisions of this Agreement and that each party shall be entitled to seek injunctive or other equitable relief to enforce the terms of this Agreement, in addition to any other remedies available at law or in equity.
