LEGAL INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the Agreement) is entered into as of (Effective Date), by and between Client Name: , Client Entity Type: , with principal place of business at , and Contractor Name: , Contractor Entity Type: , with principal place of business at .

RECITALS

WHEREAS, Client desires to engage Contractor to perform certain services described herein, and Contractor desires to perform such services for Client on the terms and conditions set forth in this Agreement.

WHEREAS, Contractor represents that Contractor has the necessary qualifications, experience, and resources to perform the services and will perform such services in a professional and workmanlike manner in accordance with industry standards.

WHEREAS, the parties intend by this Agreement to define their respective rights and obligations with respect to the services, deliverables, payment, confidentiality, and ownership of work product.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client hereby engages Contractor, and Contractor accepts such engagement, to perform the services described in the Scope of Services attached hereto or described below (Services). Contractor shall determine the method, details and means of performing the Services, subject to the requirements of this Agreement.

2. TERM

2.1 Term. The term of this Agreement shall commence on the Effective Date and continue until , unless earlier terminated in accordance with Section 11.

3. COMPENSATION; PAYMENT

3.1 Fees. In consideration for the Services, Client shall pay Contractor the fees set forth below. Fees are exclusive of expenses unless otherwise provided in Section 4.

3.2 Payment Terms. Contractor shall invoice Client in accordance with the invoice schedule: . Payments are due within days of Client's receipt of a proper invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

4. EXPENSES

4.1 Reimbursable Expenses. Client shall reimburse Contractor for pre-approved, reasonable out-of-pocket expenses incurred in connection with performance of the Services upon submission of supporting receipts. Reimbursement shall occur within the payment period set forth in Section 3.2.

5. INDEPENDENT CONTRACTOR; TAXES

5.1 Independent Contractor Relationship. Contractor is an independent contractor and not an employee, agent, joint venturer or partner of Client. Contractor shall have sole responsibility for all taxes, withholdings, social security, benefits and other obligations arising from Contractor's performance of the Services.

5.2 Benefits. Contractor is not entitled to any employee benefits from Client. Contractor shall be responsible for procuring any necessary permits, licenses or registrations required to perform the Services.

6. CONFIDENTIALITY

6.1 Definition. "Confidential Information" means any non-public information disclosed by a party (Disclosing Party) to the other party (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

6.2 Obligations. Receiving Party shall hold Confidential Information in strict confidence, shall not use it except to perform under this Agreement, and shall not disclose it to third parties except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

6.3 Exclusions. Confidential Information does not include information that is (a) publicly available other than by breach of this Agreement, (b) already rightfully known by Receiving Party, or (c) independently developed without use of the Disclosing Party's Confidential Information, or (d) required to be disclosed by law, provided Receiving Party gives prompt notice to Disclosing Party.

7. INTELLECTUAL PROPERTY

7.1 Ownership of Deliverables. Subject to Contractor's moral rights, Contractor agrees that all deliverables, work product, inventions, developments and materials created specifically for Client under this Agreement (collectively, Deliverables) shall be deemed "work made for hire" to the fullest extent permitted by applicable law, and Client shall own all right, title and interest therein. To the extent any Deliverable is not a work made for hire, Contractor hereby assigns and transfers to Client all right, title and interest in and to such Deliverable.

7.2 Pre-existing Materials. Contractor shall retain ownership of Contractor's pre-existing materials and general skills, know-how and methodologies. Contractor grants Client a perpetual, non-exclusive, royalty-free license to use any pre-existing Contractor materials embedded in Deliverables solely to the extent necessary to use the Deliverables.

8. REPRESENTATIONS AND WARRANTIES

8.1 Mutual Representations. Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that performance will not violate any other agreement to which it is bound.

8.2 Contractor Warranties. Contractor represents and warrants that (a) the Services will be performed in a professional manner consistent with industry standards, (b) Deliverables will not infringe or misappropriate any third-party intellectual property rights, and (c) Contractor will comply with all applicable laws in performing the Services.

9. INDEMNIFICATION

9.1 Contractor Indemnity. Contractor shall defend, indemnify and hold harmless Client and its affiliates, officers, directors and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of (a) any breach of Contractor's representations, warranties or covenants, (b) Contractor's negligence or willful misconduct, or (c) any claim that Deliverables infringe or misappropriate a third party's intellectual property rights, except to the extent such claim arises from Client's unauthorized modification or use.

9.2 Client Indemnity. Client shall defend, indemnify and hold harmless Contractor from and against claims to the extent arising from Client's negligence, willful misconduct, or use of the Deliverables in combination with materials not provided by Contractor.

10. INSURANCE

11. TERMINATION

11.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

11.2 Termination for Cause. Either party may terminate this Agreement effective immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice thereof.

11.3 Effect of Termination. Upon termination, Contractor shall deliver to Client all completed Deliverables and any work in progress and Client shall pay Contractor for Services performed and approved expenses incurred through the effective date of termination.

12. LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, or a party's indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and each party's aggregate liability for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client to Contractor under this Agreement during the twelve (12) month period preceding the claim.

13. NOTICES

All notices, demands or other communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or by overnight courier to the addresses below or to such other address as either party may designate by written notice.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

15. MISCELLANEOUS

15.1 Entire Agreement. This Agreement, including any exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written.

15.2 Amendments. No amendment or modification of this Agreement shall be effective unless in writing signed by both parties.

15.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the economic, legal and commercial objectives of the invalid provision.

15.4 Waiver. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default. The waiver must be in writing and signed by the waiving party.

15.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall have the same force and effect as original signatures.
