RECITALS

NOW, THEREFORE

In consideration of the mutual covenants and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following terms shall have the meanings set forth below. "Immediate Sanction" means any measure taken by Issuer pursuant to the authority described in Section 3 that is effective upon issuance to mitigate ongoing harm, preserve rights, or secure compliance.

Issuer may impose sanctions without prior notice where issuance is necessary to prevent imminent harm, protect confidential or proprietary information, maintain operational stability, or preserve legal rights.

4. SCOPE OF IMMEDIATE SANCTIONS

The Immediate Sanctions imposed by Issuer and their specifics are set forth below. Issuer may impose one or more of the following measures as indicated.

5. EFFECTIVE DATE, DURATION AND REVIEW

Immediate Sanctions shall be effective immediately upon issuance on Effective Date: and shall remain in effect until the earlier of: (a) automatic termination on ; (b) a written determination by Issuer lifting the sanction; or (c) final adjudication by an authorized review body.

Respondent may request administrative review within days of issuance by submitting written materials described in Section 6. Issuer shall complete any non-emergency review within a commercially reasonable timeframe, not to exceed days, unless extended for cause with notice.

6. NOTICE, OPPORTUNITY TO CURE AND APPEAL

Issuer shall provide written notice of the Immediate Sanction to Respondent at the addresses provided in the Notices section below. Except where emergency relief is required and expressly stated, Respondent shall have the opportunity to cure specified violations within the cure period identified in the notice. A request to stay the sanction pending review may be made but shall be granted only on a showing of immediate and irreparable harm.

7. REMEDIES, COSTS AND ATTORNEYS' FEES

All remedies available to Issuer at law or in equity remain available. Respondent shall be liable for reasonable costs and attorneys' fees incurred by Issuer in enforcing this Form if Issuer prevails in any subsequent proceeding to confirm or enforce the sanction, subject to applicable law.

8. CONFIDENTIALITY

The parties shall treat the findings, supporting evidence and any non-public aspects of this Form as confidential to the extent permitted by law. Disclosure of such information is permitted where required by competent legal process, regulatory obligation, or with prior written consent of the other party.

9. INDEMNIFICATION

Respondent shall indemnify, defend and hold harmless Issuer and its officers, directors, employees and agents from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising from Respondent's breach of any representation, warranty or covenant in this Form or from the conduct that gave rise to the Immediate Sanction.

10. NOTICES

All notices, demands or communications under this Form shall be in writing and delivered to the addresses below by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

11. GOVERNING LAW; VENUE

This Form shall be governed by and construed in accordance with the laws of the jurisdiction selected by Issuer: . Venue for any dispute arising hereunder shall lie exclusively in the state or federal courts located within that jurisdiction.

12. ENTIRE AGREEMENT; SEVERABILITY
