LEGAL IMPORT LEGALIZATION FORM

This Legal Import Legalization Form (the "Form") is entered into between Applicant Name: and Legalization Agent Name: with effect as of .

RECITALS

WHEREAS, Applicant intends to import certain documents and related commercial papers for use or submission in foreign jurisdictions and requires certified legalization, apostille, consular authentication, and related administrative processing;

WHEREAS, Agent is engaged in the business of providing legalization, notarization coordination, consularization, and submission services and represents that it has the necessary experience to perform said services under the terms of this Form;

WHEREAS, Applicant desires to engage Agent to perform legalization services for the documents described below and to authorize Agent to act on Applicant's behalf in connection with such services in accordance with the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For the purposes of this Form, the following terms shall have the meanings set forth below:

"Legalization" means the process of authenticating or certifying a document for use in a foreign jurisdiction by means of apostille, consular authentication, ministerial certification, or other required endorsements.

"Documents" means the original or certified copies of papers submitted by Applicant for legalization as listed in Section 3 below.

2. SCOPE OF SERVICES

Agent shall, on behalf of Applicant, perform the following services as may be necessary to obtain legalization:

(a) Review Documents for formal sufficiency and advise on any required notarial or certified copies; (b) arrange for any required domestic notarization or certification; (c) prepare and submit Documents to competent authorities, apostille authorities or consular posts; (d) coordinate translation and courier services where requested; and (e) return legalized Documents to Applicant by the agreed method.

Applicant hereby authorizes Agent to act as Applicant's agent and attorney-in-fact solely for the purposes of effecting Legalization of the Documents described above. Such authority includes signing ministerial forms, collecting and delivering Documents, executing consular submission forms, and paying government or third-party fees on Applicant's behalf in accordance with the Fee provisions below.

Agent is authorized to select among lawful methods of legalization (apostille, consular legalization, or other authentication) as required by the receiving authority unless Applicant checks the box below requiring Agent to follow Applicant's specific instruction.

5. REPRESENTATIONS AND WARRANTIES

Applicant represents and warrants that: (a) Applicant is duly authorized to submit the Documents for Legalization; (b) the Documents are genuine, accurate, and complete; (c) any persons executing Documents have authority to do so; and (d) Applicant will promptly inform Agent of any subsequent withdrawal, revocation, or change affecting Applicant's authority or the Documents' validity.

6. FEES, EXPENSES AND PAYMENT

Applicant agrees to pay Agent the fees set forth below and to reimburse Agent for all disbursements reasonably incurred in connection with the Legalization, including but not limited to governmental fees, translation fees, courier charges, and storage.

7. LIMITATION OF LIABILITY AND INDEMNITY

Agent shall exercise reasonable care in performing the Services but does not warrant that legalization will be obtained. Agent's liability for any claim arising out of or related to this Form shall be limited to direct damages not to exceed the total fees actually paid by Applicant to Agent for the specific legalization transaction giving rise to the claim. In no event shall Agent be liable for consequential, special or punitive damages. Applicant agrees to indemnify, defend and hold Agent harmless from and against any claims, losses, liabilities, costs and expenses (including reasonable attorney's fees) arising from Applicant's breach of representations, provision of false information, or use of forged or fraudulent Documents.

8. HANDLING AND RETURN OF ORIGINALS

Applicant acknowledges that original Documents may be provided to governmental authorities and that Agent will use commercially reasonable efforts to secure and return such originals. Risk of loss or damage to Documents while in the custody of Agent or a third-party courier shall be limited as set forth above; Applicant is responsible for insuring Documents if so desired.

9. CONFIDENTIALITY

Agent shall treat Applicant's Documents and information as confidential and shall not disclose such information except as necessary to perform the Services, to comply with applicable law, or with Applicant's prior written consent. This confidentiality obligation shall survive termination of this Form.

10. NOTICES

All notices shall be in writing and shall be deemed given when delivered in person, sent by nationally recognized overnight courier, or emailed with confirmation to the addresses provided above.

11. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment to this Form must be in writing and signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Form shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified below. This Form constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior negotiations and understandings. If any provision of this Form is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. MISCELLANEOUS PROVISIONS

The headings in this Form are for convenience only and shall not affect interpretation. The obligations that by their nature are intended to survive termination shall survive any expiration or termination of this Form.
