9. CLIENT REPRESENTATIONS AND WARRANTIES

Client represents and warrants that all information provided in this Questionnaire is true, correct and complete to the best of Client's knowledge, that Client is authorized to furnish such information, and that Client will promptly notify Legal Provider of any changes. Client understands that Legal Provider will rely upon the information in preparing formation and organizational documents, and that Legal Provider's obligations are limited to preparing and filing documents as instructed herein and in a separate engagement agreement.

10. CONFIDENTIALITY; USE OF INFORMATION

Legal Provider will maintain in confidence the nonpublic information provided by Client, consistent with attorney-client duties and applicable law. Client authorizes Legal Provider to use Client information as reasonably necessary to prepare and file organizational documents and related corporate records.

11. LIMITATION OF LIABILITY; INDEMNIFICATION

Legal Provider shall exercise reasonable professional skill in performing services; however, Legal Provider’s liability for any claim arising from or related to this Questionnaire or the provision of formation services shall be limited to direct damages and shall not include consequential, incidental, or punitive damages. Client agrees to indemnify and hold harmless Legal Provider from liabilities and expenses arising from Client’s misrepresentations or omissions of material facts.

Governing Law: This Questionnaire shall be governed by and construed in accordance with the laws of the jurisdiction of formation specified above, without regard to conflict of law principles.
