3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that the information provided on this Form is true, complete and accurate as of the Effective Date and that it has the authority to disclose such information. Each party further represents that no material fact has been omitted that would render the information misleading. Each party agrees to promptly notify the other of any material change to the information provided.

4. USE, CONFIDENTIALITY AND LIMITATIONS

The receiving party shall use the Legal Information only for the purposes expressly permitted by this Form, including transaction administration, compliance verification and internal due diligence. The receiving party shall treat Legal Information as confidential and shall not disclose such information to third parties except to its affiliates, counsel, accountants or advisors who have a need to know and who are under confidentiality obligations at least as protective as those herein. The confidentiality obligations do not apply to information that is or becomes publicly available other than through a breach of this Form, or that is required to be disclosed by operation of law, regulation or valid order of a court or governmental authority, provided that the disclosing party is given prompt written notice and an opportunity to seek protective measures.

6. NOTICES

Notice shall be deemed given when delivered personally, by nationally recognized overnight courier, or when transmitted electronically with confirmation of receipt.

7. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Form shall be effective unless in writing and signed by authorized representatives of both parties. A waiver of any breach shall not constitute a waiver of any subsequent breach.

8. SEVERABILITY

If any provision of this Form is held invalid or unenforceable in any jurisdiction, the remainder of this Form shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable while preserving the parties' intent.

9. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified here: , without regard to conflict of law principles.

10. ENTIRE AGREEMENT
