LEGAL INFORMATION RELEASE AUTHORIZATION

This Legal Information Release Authorization (the Authorization) is entered into by and between Releasor Name: , Releasor Address: , and Recipient Name: , Recipient Address: . The parties may be referred to individually as a Party and collectively as the Parties.

RECITALS

WHEREAS, Releasor possesses certain legal, medical, employment, financial, educational, and/or other records and information that are relevant to the purposes described in this Authorization;

WHEREAS, Recipient requires access to specific information in order to effectuate legal representation, litigation, claims administration, regulatory compliance, or other lawful purposes set forth herein; and

WHEREAS, Releasor desires to authorize disclosure of limited categories of information to Recipient and designated third-party recipients, subject to the terms, limitations, and safeguards provided in this Authorization.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows.

1. DEFINITIONS

1.1 "Information" means all written, electronic, oral or recorded materials concerning the Releasor, including but not limited to records, files, documents, medical records, employment records, tax records, financial statements, educational records, criminal history records, legal pleadings, investigation reports, and any other materials specifically authorized for release in Section 3.

1.2 "Purpose" means the specific reason(s) for which Information may be disclosed under this Authorization, as set forth in Section 4.

2. AUTHORIZATION AND SCOPE OF RELEASE

Releasor hereby authorizes any individual, entity, custodian, or holder of records ("Disclosing Entity") to disclose to Recipient and Recipient's authorized representatives the Information described in Section 3. This Authorization includes disclosure in any format reasonably requested by Recipient, including copies, summaries, electronic transmissions, and verbal disclosures when appropriate to the Purpose.

3. SPECIFIC CATEGORIES OF INFORMATION AUTHORIZED FOR RELEASE

If no expiration date is provided, this Authorization shall remain effective for twelve (12) months from the Effective Date unless revoked earlier.

6. REVOCATION

Releasor may revoke this Authorization at any time by delivering a written revocation to Recipient and to any Disclosing Entity that has received Information pursuant to this Authorization. Revocation shall be effective upon receipt, except to the extent that Recipient or a Disclosing Entity has already relied upon this Authorization in disclosing or using Information or where disclosure or use was made in reliance on a court order or other legal requirement.

7. REDISCLOSURE TO THIRD PARTIES

Recipient may disclose Information to third-party agents, consultants, experts, counsel, insurers, governmental authorities, or others as reasonably necessary to accomplish the Purpose, provided that such third parties are bound by confidentiality obligations at least as protective as those set forth herein. Unless otherwise agreed in writing, Releasor acknowledges that Releasor may be responsible for reasonable reproduction, retrieval, copying or processing fees charged by a Disclosing Entity. Specify payment arrangement if required:

Releasor represents and warrants that Releasor is legally entitled to authorize the disclosure of the Information identified in this Authorization, that the authorization is not made under duress or coercion, and that no law or binding agreement prohibits the disclosure requested. Releasor consents to such disclosure for the Purpose described in Section 4.

10. LIMITATIONS ON LIABILITY; INDEMNIFICATION

Recipient shall use reasonable care to protect Information from unauthorized use or disclosure. Releasor acknowledges that Recipient and Disclosing Entities shall not be liable for disclosures made in good faith pursuant to this Authorization. Releasor agrees to indemnify and hold harmless Recipient and its agents from any claims, liabilities, expenses or damages arising from false representations by Releasor regarding authority to release Information or from Releasor's failure to obtain required consents from third parties.

11. CONFIDENTIALITY AND SECURITY

Recipient agrees to maintain Information in strict confidence, to restrict access to those employees or agents with a need to know for the Purpose, and to implement administrative, technical and physical safeguards to protect Information consistent with applicable law. Recipient shall promptly notify Releasor in writing upon discovery of any unauthorized disclosure of Information and shall cooperate in any mitigation efforts.

12. NOTICES

All notices, demands, consents and other communications required or permitted under this Authorization shall be delivered in writing to the addresses provided below or to such other address as a Party may designate in writing.

13. GOVERNING LAW; VENUE

This Authorization shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties agree that any dispute arising hereunder shall be brought exclusively in the state or federal courts located within that State, unless otherwise mutually agreed in writing.

14. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

This Authorization constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, representations and understandings. If any provision of this Authorization is deemed invalid or unenforceable, the remainder shall remain in full force and effect. No amendment or waiver of any provision shall be effective unless in writing and signed by both Parties. This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. ACKNOWLEDGMENT

By signing below, Releasor acknowledges that Releasor has read and understands this Authorization, that Releasor's authorization is voluntary, and that Releasor has had an opportunity to ask questions about the scope and effect of this Authorization. Releasor understands that this Authorization permits disclosure of private information to the Recipient and others identified herein.
