LEGAL INSCRIPTION CONTRACT

This Legal Inscription Contract (the "Agreement") is entered into as of Effective Date: by and between Inscriber Name: with address: , and Client Name: with address: .

RECITALS

WHEREAS, Inscriber is engaged in the business of preparing and applying text, graphics and other markings by engraving, etching, casting, hand-carving or similar methods (collectively, "inscription services"); and

WHEREAS, Client desires to retain Inscriber to perform inscription services on the item(s) described herein under the terms and conditions set forth in this Agreement; and

WHEREAS, Inscriber has represented that it possesses the skill, experience and facilities necessary to perform the agreed services in a professional manner.

NOW, THEREFORE

In consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows.

1. DEFINITIONS

1.1 "Work" means the inscription, related artwork, proofs, materials and labor to be provided by Inscriber under this Agreement as described in Section 2. 1.2 "Specifications" means the inscription text, font, dimensions, placement and any design elements set forth in the approved proof.

2. SCOPE OF SERVICES

Inscriber shall prepare and deliver the Work described as follows:

Inscriber shall produce one or more proofs for Client review, and shall not commence final inscription on the finished substrate until Client has provided written approval of a proof in accordance with Section 3.

3. PROOFS, APPROVALS AND CHANGES

3.1 Inscriber will submit Proof Date: for Client approval. Client shall approve or request changes in writing within days of receipt.

3.2 Client-approved proof constitutes final Specifications. Any revisions requested after approval, or any changes to the Specifications requested by Client during production, shall be billed as Additional Work at Inscriber's then-current rates and paid by Client prior to completion unless otherwise agreed in writing.

4. PRICE, PAYMENT AND DEPOSIT

Unless otherwise stated, deposit is nonrefundable and due upon execution of this Agreement. Balance of payment is due on or before Balance Due Date: . Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

5. MATERIALS AND SITE ACCESS

5.1 Materials Provided By Client: Client will supply substrate or materials as specified in item description. If checked, Client warrants materials are suitable for inscription.

5.2 If Inscriber supplies materials, title to purchased materials passes to Client upon full payment. If installation at a Site is required, Client shall provide safe and reasonable access and any applicable permits, and shall be responsible for any site preparation unless otherwise agreed in writing.

6. DELIVERY, COMPLETION AND INSTALLATION

Inscriber shall achieve Completion Date: subject to timely Client approvals, receipt of materials and access to Site. Time is of the essence for any milestones expressly designated in writing; otherwise, timeframes are estimates and Inscriber shall not be liable for delays caused by factors outside its control.

7. WARRANTIES AND LIMITATIONS

7.1 Inscriber warrants that the Work will be performed in a professional and workmanlike manner consistent with industry standards for a period of months from completion. This warranty does not cover damage resulting from abuse, environmental conditions, improper maintenance, or alterations by others.

7.2 EXCEPT AS EXPRESSLY STATED IN SECTION 7.1, THE WORK IS PROVIDED "AS IS." INSCRIBER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. INTELLECTUAL PROPERTY AND USE

Client represents and warrants that it owns or has license to use any text, names, images or designs provided to Inscriber for inscription and that such use will not infringe third-party rights. Client shall indemnify Inscriber for any claim arising from Client-provided content.

Inscriber retains the right to photograph and reproduce images of the finished Work for promotional, archival and portfolio purposes unless Client explicitly declines below: Decline photography for promotional use

9. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from its breach of this Agreement, negligence or willful misconduct. Except for indemnification obligations or willful misconduct, neither party shall be liable for consequential, incidental, special or punitive damages. Inscriber's aggregate liability for any claim relating to this Agreement shall not exceed the total fees paid by Client to Inscriber under this Agreement.

10. TERMINATION

Either party may terminate this Agreement for material breach by the other party that remains uncured for a period of days after written notice specifying the breach. Upon termination, Client shall pay Inscriber for Work performed and materials ordered through the date of termination, including reasonable demobilization costs.

11. NOTICES

Notices shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or when received by certified mail, return receipt requested.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties at the time of signing. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect.

13. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. SIGNATURE AUTHORITY

Each individual signing this Agreement represents and warrants that they are fully authorized to execute this Agreement on behalf of the party for whom they sign and that their signature binds that party to the terms of this Agreement.
