RECITALS

WHEREAS, Grantor is the lawful owner or authorized occupant of the Premises identified above and has authority to permit inspection of the Premises and related records; and

WHEREAS, Inspector is equipped, trained and authorized to conduct inspections, evaluations, sampling and review of documents, equipment and areas relevant to the purpose described herein; and

WHEREAS, Grantor and Inspector wish to set forth the terms under which the Inspector will be permitted to enter, inspect and obtain copies or samples from the Premises for the purposes stated below.

NOW THEREFORE

In consideration of the mutual covenants set forth herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Authority: "Grantor" means the party granting access; "Inspector" means the individual or entity identified above and any authorized representatives; "Premises" means the physical location and all areas listed in Premises Address; "Records" means all written, electronic or physical documents, logs, reports, plans, manuals and data concerning the Premises relevant to the inspection.

2. GRANT OF AUTHORITY

Grantor hereby authorizes Inspector and Inspector's authorized agents and representatives to enter the Premises during the Inspection Period defined in Section 4, conduct inspections, observations, photographs, measurements, interviews, sampling and to examine and copy Records relevant to the inspection purpose. This authorization includes temporary removal of samples and copies of Records as reasonably necessary for analysis, subject to chain of custody procedures and return or certified destruction as required by this Authority.

5. ACCESS, ESCORTS AND SAFETY

Grantor shall provide safe access to the areas to be inspected, furnish escorts if required by Grantor's security protocols, and advise Inspector of known hazards. Inspector shall comply with all site-specific safety rules, wear required personal protective equipment and follow reasonable directions from Grantor's site representative. Inspector shall not disable safety systems or remove locks without prior written authorization.

6. RECORDS, COPIES AND CONFIDENTIALITY

Inspector may copy or remove non-original Records only to the extent reasonably necessary for analysis. All Records, Copies and Samples that are designated confidential by Grantor shall be treated as Confidential Information and used only for purposes of this inspection, except to the extent disclosure is compelled by law. Inspector shall provide Grantor prompt notice of any compelled disclosure and shall cooperate with efforts to obtain protective measures.

7. SAMPLING, CHAIN OF CUSTODY AND PROPERTY

Sampling shall be performed in a manner that preserves chain of custody. Inspector shall label, log and provide receipts for any materials removed. Grantor may require duplicate samples. Inspector shall not dispose of hazardous materials except in accordance with applicable law and with prior written direction from Grantor.

8. INDEMNIFICATION AND INSURANCE

Inspector shall indemnify, defend and hold harmless Grantor from and against all claims, liabilities, losses and expenses arising out of Inspector's acts or omissions during the inspection, except to the extent caused by Grantor's negligence or willful misconduct. Inspector shall maintain insurance in commercially reasonable amounts including general liability and professional liability as applicable.

9. COSTS

Unless otherwise agreed in writing, Inspector shall be responsible for costs of its personnel, travel and analysis. Grantor shall be responsible for reasonable on-site support costs as described in any separate fee schedule. Any extraordinary costs shall require prior written approval.

10. TERM AND TERMINATION

This Authority commences on the Effective Date and continues until the Inspection End Date specified above unless earlier terminated by either party upon written notice delivered at least days prior to the intended termination date. Termination shall not relieve Inspector of obligations with respect to Confidential Information, return of property, or indemnity for acts occurring prior to termination.

11. NOTICES

Notices shall be effective upon receipt if delivered by hand, courier, or certified mail, or upon confirmed delivery if sent by electronic mail to an address provided in writing by a party.

12. AMENDMENTS; WAIVER

This Authority may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought.

13. GOVERNING LAW

This Authority shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Premises is located, without regard to conflict of laws principles.

14. ENTIRE AGREEMENT; SEVERABILITY

This Authority constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. REPRESENTATIONS AND CERTIFICATIONS

Grantor represents and warrants that it has full authority to grant the rights set forth in this Authority and that permitting the inspection will not violate any contract, court order or legal obligation. Inspector certifies that it will conduct inspections in a professional manner and in compliance with applicable laws and industry standards.
