LEGAL INSPECTION CONSENT FORM

This Legal Inspection Consent Form (the Agreement) is entered into as of by and between Owner: , with mailing address (Owner), and Inspector: , acting on behalf of (Inspector).

RECITALS

WHEREAS, Owner is the legal owner or authorized representative of the real property located at (Property); and

WHEREAS, Inspector is a qualified professional retained to perform a limited inspection and to prepare a written inspection report concerning the condition of the Property on the date(s) specified below; and

WHEREAS, Owner desires to grant Inspector reasonable access to the Property and to consent to the limited scope of inspection described herein, subject to the terms and limitations of this Agreement.

NOW, THEREFORE

In consideration of the mutual covenants and agreements set forth below, the parties hereby agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following definitions apply: "Property" means the real property identified above. "Inspector" means the person or entity identified above and any of its employees, agents, subcontractors and representatives. "Report" means any written, electronic or photographic record, summary or opinion prepared by Inspector as a result of the inspection.

2. SCOPE OF INSPECTION

2.1 Inspector shall perform a non-invasive visual inspection of those systems and components expressly selected below. The inspection is limited to the observable condition of components at the time of inspection and does not constitute a warranty or guarantee of future condition.

3. SCHEDULE AND ACCESS

3.1 The inspection shall occur on the following date(s): and at such times as agreed in writing by the parties.

3.2 Owner authorizes Inspector and its authorized representatives to enter the Property for the purpose of conducting the inspection and any limited testing expressly agreed. 4. PHOTOGRAPHS, SAMPLES AND RECORDS

Owner hereby consents to reasonable photography, video recording, and collection of non-destructive samples by Inspector as necessary for the inspection and the preparation of the Report. Consent to such activities is indicated below.

5. REPORT, CONFIDENTIALITY AND USE

5.1 Inspector will deliver a written Report summarizing observations, opinions and any recommended actions. The Report is an opinion based on visible conditions at the time of inspection and is not a warranty or estimate of repair cost unless expressly stated in writing.

5.2 Owner acknowledges that the Report, photographs and notes prepared by Inspector are the intellectual property of Inspector. Owner may distribute the Report to prospective purchasers or lenders of the Property so long as any distribution reproduces Inspector's standard disclaimers verbatim and does not alter the Report.

6. LIMITATIONS; DISCLAIMER; LIABILITY CAP

6.1 Inspector's inspection does not include latent defects, hidden conditions, code compliance review, forensic analysis beyond visual observation, or continuous monitoring. Inspector shall not be responsible for conditions concealed by furniture, stored items, ambient conditions or prior repairs.

6.2 EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, THE TOTAL LIABILITY OF INSPECTOR ARISING FROM OR RELATING TO THIS AGREEMENT SHALL BE LIMITED IN THE AGGREGATE TO THE FEE PAID BY OWNER FOR THE INSPECTION. The parties may elect a different cap by specifying an alternate amount below:

7. INDEMNIFICATION

Owner shall indemnify, defend and hold harmless Inspector and its officers, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Owner's breach of this Agreement, Owner's negligence, or any acts or omissions of third parties at the Property to the extent caused by Owner.

8. HEALTH, SAFETY AND COMPLIANCE

Inspector shall comply with applicable safety rules while on the Property. Owner warrants to the best of Owner's knowledge the existence or known locations of hazardous conditions (including asbestos, mold, lead, underground storage tanks) and agrees to notify Inspector of any such conditions prior to the inspection.

9. TERM; TERMINATION

This Agreement shall commence on the Effective Date and shall terminate upon delivery of the Report and completion of any limited follow-up permitted by the Agreement, unless earlier terminated by mutual written agreement. If either party materially breaches this Agreement, the non-breaching party may terminate upon written notice.

10. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below by hand, certified mail, or overnight courier.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located, without regard to choice of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
