LEGAL INSPECTION WAIVER

This Legal Inspection Waiver (the "Waiver") is made as of , between Releasing Party: , with principal address , and Recipient Party: , with principal address .

RECITALS

WHEREAS, the Releasing Party and the Recipient Party are parties to a transaction involving the property or items described below and wish to set forth the parties' agreement concerning any inspections, inspection reports and related remedies;

WHEREAS, the parties acknowledge that certain inspections have been completed, and the Releasing Party now elects to waive specified inspection rights and remedies as set forth in this Waiver;

WHEREAS, the parties desire to allocate risk and establish the effect of any existing or future inspection reports on their rights and obligations;

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration set forth herein, the parties agree as follows:

For purposes of this Waiver, the following terms shall have the meanings set forth: "Inspections" means any physical, mechanical, structural, environmental, or other examination of the Property or Goods by a licensed inspector, engineer, contractor, surveyor or other agent; "Report" means any written, printed, photographic, electronic or other record arising from Inspections; "Claims" means any claim, demand, action, cause of action, liability, cost, damage or expense including reasonable attorneys' fees.

3. WAIVER OF INSPECTION RIGHTS

The Releasing Party hereby irrevocably and unconditionally waives, to the fullest extent permitted by law, any and all rights to require completion of further Inspections or to condition the transaction on satisfaction of any Inspection contingency, except as expressly reserved in this Waiver. The waiver includes the right to rescind, terminate, delay closing or withhold funds on account of defects discovered by any subsequent Inspection, subject to the specific limited exceptions in Section 4.

Notwithstanding the waiver in Section 3, the Releasing Party does not waive rights arising from (a) material fraud or intentional misrepresentation by the Recipient Party, (b) willful concealment of known material defects by the Recipient Party, or (c) obligations expressly set forth in a separate written agreement between the parties. Parties represent that all material facts known at the time of execution have been disclosed in writing.

5. ACKNOWLEDGEMENTS

The Releasing Party acknowledges and agrees that:

  1. The Releasing Party has had the opportunity to conduct Inspections and obtain independent advice from qualified professionals;
  2. The Releasing Party is executing this Waiver voluntarily, without duress or undue influence;
  3. This Waiver shall be binding upon the Releasing Party and its successors and assigns.

6. INDEMNIFICATION AND RELEASE

The Releasing Party releases, waives, and forever discharges the Recipient Party from all Claims arising from defects that would have been discovered by Inspections waived hereunder, and agrees to indemnify, defend and hold the Recipient Party harmless from and against any Claims, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from such Claims, except to the extent such Claims arise from the Recipient Party's fraud or willful misconduct.

7. LIMITATION OF LIABILITY; SURVIVAL

EXCEPT FOR LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS WAIVER. The obligations of the parties under Sections 4, 5 and 6 survive termination or closing of the related transaction.

All notices, demands and communications required or permitted under this Waiver shall be in writing and delivered to the parties at the addresses set forth below by personal delivery, certified mail (return receipt requested) or nationally recognized overnight courier:

This Waiver shall be governed by and construed in accordance with the laws of the state selected by the parties below, without regard to choice-of-law principles. Governing law state:

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings. This Waiver may be amended or modified only by a written instrument executed by both parties. 11. SEVERABILITY

If any provision of this Waiver is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

12. COUNTERPARTS; EXECUTION

This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one and the same instrument. Electronic or facsimile signatures shall be treated as originals for all purposes.
