RECITALS

WHEREAS, Applicant seeks coverage for certain legal expenses and defense costs arising from specified matters and desires to apply to Insurer for a legal insurance policy subject to the terms and conditions of this Application and any subsequent policy document; and

WHEREAS, Insurer conducts underwriting review of applications and will issue coverage only upon acceptance, execution of a policy, and receipt of premium in accordance with Insurer's underwriting criteria and applicable law; and

WHEREAS, the parties intend that the information provided in this Application shall be considered true, complete, and material to Insurer's decision to provide coverage.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Application, the following definitions apply: "Policy" means the legal insurance contract issued by Insurer to Applicant. "Covered Matter" means a legal dispute or proceeding for which the Policy expressly provides coverage. "Insured Event" means an occurrence giving rise to a claim for coverage under the Policy.

Applicant represents and warrants that all information provided in this Application is true, complete and accurate to the best of Applicant's knowledge. Applicant acknowledges that any material misrepresentation, omission or nondisclosure may give Insurer grounds to rescind coverage, deny claims or void the Policy in accordance with applicable law.

6. COVERAGE, EXCLUSIONS AND DEFENSE

Coverage, if offered, will be subject to the Policy terms, conditions, limits and exclusions. Typical exclusions include: (a) intentional unlawful acts or fraud; (b) matters arising prior to the Policy Effective Date that were known or reasonably should have been known by Applicant; (c) criminal defense for acts knowingly committed by the Applicant; and (d) matters expressly excluded in any issued Policy endorsement.

Insurer's obligations to defend or indemnify are subject to the Policy's defense provisions, including cooperation and notice requirements, and where applicable Insurer's right to select counsel, settle claims, or pursue subrogation against responsible third parties.

7. PREMIUM PAYMENT, CANCELLATION AND AUDIT

Applicant agrees to pay premium in accordance with the payment schedule agreed by the parties. Insurer may cancel or rescind coverage for nonpayment of premium or material misrepresentation in accordance with the Policy and applicable law. Insurer shall have the right to audit records relevant to underwriting and claims handling upon reasonable written notice.

8. CLAIMS NOTICE AND COOPERATION

Applicant shall provide Insurer with prompt written notice of any Insured Event and shall cooperate fully with Insurer in the investigation, defense, settlement, and appeal of any claim. Failure to provide timely notice or reasonable cooperation may prejudice Applicant's rights under the Policy and may relieve Insurer of obligations to provide coverage.

9. CONFIDENTIALITY

The parties agree that information submitted in this Application shall be treated as confidential by Insurer, subject to applicable laws, regulatory requirements, and Insurer's legitimate business need to disclose information to reinsurers, legal counsel, or as required by law.

10. NOTICES

All notices required or permitted by this Application shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice shall be effective upon delivery if hand-delivered, one business day after dispatch if sent by commercial overnight carrier, or three business days after deposit if mailed by certified mail.

11. AMENDMENTS, WAIVER AND COUNTERPARTS

This Application may be amended only by a written instrument signed by both parties. No waiver of any breach or default shall be deemed a waiver of any subsequent breach. This Application may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Application, and any Policy issued in reliance upon it, shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of laws principles. This Application constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. AUTHORIZATION AND CERTIFICATION

Applicant hereby certifies that the information contained in this Application is true and that Applicant authorizes Insurer to obtain and verify any information, including without limitation claims history, loss runs, and other underwriting information. Applicant understands that coverage is not in effect until Insurer accepts this Application and issues a Policy and premium payment has been received.
