LEGAL INTERCHANGE AGREEMENT

This Legal Interchange Agreement (Effective Date: ) is made and entered into by and between , an entity organized as Corporation LLC Partnership, under the laws of , with principal place of business at (hereinafter "Disclosing Party"), and , an entity organized as Corporation LLC Partnership, under the laws of , with principal place of business at (hereinafter "Receiving Party"). Each of Disclosing Party and Receiving Party may be referred to herein as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Parties desire to exchange certain legal materials, documents, data, and information for the limited purposes set forth in this Agreement and to establish procedures, controls, and protections governing such exchange; and

WHEREAS, the Parties acknowledge that certain exchanged materials may constitute confidential, privileged, proprietary, or personally identifiable information and agree to protect such materials in accordance with the terms of this Agreement; and

WHEREAS, the Parties intend that the exchange will preserve each Party's rights and obligations with respect to ownership, privilege, and ongoing obligations to third parties.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the Parties agree as follows:

1. DEFINITIONS

1.1 "Interchange Materials" means all documents, records, data, files, privileged communications, expert reports, deposition transcripts, electronic data, and other materials, whether in written, electronic, or other form, that a Disclosing Party provides to the Receiving Party under this Agreement. Description of expected categories of materials:

1.2 "Confidential Information" means any Interchange Materials that are designated as confidential or that by their nature would reasonably be understood to be confidential, including without limitation privileged communications, proprietary business information, and personal data subject to privacy laws.

2. SCOPE OF EXCHANGE

2.1 Purpose. The Parties will exchange Interchange Materials solely for the following purpose(s):

2.2 Permitted Use. Receiving Party shall use Interchange Materials only to accomplish the Purpose set forth in Section 2.1 and not for any other commercial, litigation, or administrative purpose without the prior written consent of the Disclosing Party.

2.3 Restrictions. Receiving Party shall not copy, distribute, publish, sublicense, or otherwise disclose Interchange Materials except as expressly permitted by this Agreement or as required by applicable law, court order, or professional ethical obligations, provided that Receiving Party uses commercially reasonable efforts to limit such disclosure to what is legally required.

3. CONFIDENTIALITY AND PRIVILEGE

3.1 Confidentiality. Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care, and shall limit access to those employees, agents, consultants, contractors, or counsel who have a need to know for the Purpose and who are bound by confidentiality obligations at least as protective as those in this Agreement.

3.2 Privilege Preservation. Nothing in this Agreement shall be construed as a waiver of any attorney-client privilege, work product protection, or other legal privilege. If Interchange Materials include communications protected by privilege or work product, the Parties shall maintain such protections and shall take reasonable steps to preserve privilege, including marking or otherwise identifying documents as privileged where appropriate.

4. DATA SECURITY

4.1 Security Measures. Receiving Party shall implement and maintain administrative, technical, and physical safeguards appropriate to the sensitivity of the Interchange Materials, including but not limited to access controls, encryption for electronic transmission and storage, secure disposal, and regular security assessments.

4.2 Breach Notification. In the event of any actual or suspected unauthorized access, use, disclosure, or loss of Confidential Information, Receiving Party shall promptly notify the Disclosing Party, provide details of the incident, and take all reasonable steps to mitigate harm and remediate the breach.

5. OWNERSHIP; INTELLECTUAL PROPERTY

5.1 Ownership. All title, ownership rights, and intellectual property rights in and to Interchange Materials provided by a Disclosing Party shall remain with that Disclosing Party. No license or conveyance of any right, title, or interest in Interchange Materials is granted or implied except as expressly set forth in this Agreement.

5.2 Derivative Works. Any derivative analysis, summaries, or work product created by Receiving Party using Interchange Materials that incorporate proprietary elements of the Disclosing Party shall be considered Confidential Information of the Disclosing Party and shall be subject to the restrictions of this Agreement.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has the full right, power, and authority to disclose the Interchange Materials it provides and to enter into and perform its obligations under this Agreement. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, INTERCHANGE MATERIALS ARE PROVIDED "AS IS" AND NO PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7. INDEMNIFICATION

7.1 Indemnity by Receiving Party. Receiving Party shall indemnify, defend, and hold harmless the Disclosing Party from and against any and all claims, liabilities, damages, losses, fines, and expenses (including reasonable attorneys' fees) arising out of Receiving Party's negligent or willful breach of this Agreement, unauthorized use or disclosure of Interchange Materials, or failure to comply with applicable law in connection with the exchange.

8. LIMITATION OF LIABILITY

EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR LIABILITY FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. TERM; TERMINATION

9.1 Term. This Agreement shall commence on the Effective Date and shall continue in effect until terminated in accordance with this Section 9.

9.2 Termination for Convenience. Either Party may terminate this Agreement upon thirty (30) days' prior written notice to the other Party.

9.3 Effect of Termination. Upon termination or expiration of this Agreement, Receiving Party shall, at the Disclosing Party’s election, return or certify the secure destruction of all Interchange Materials and all copies thereof within thirty (30) days, except to the extent retention is required by law, regulation, or internal record retention policies; provided, however, that Receiving Party’s obligations with respect to Confidential Information shall survive for a period of five (5) years after termination, or for such longer period as required by applicable law.

10. NOTICES

All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and addressed to the relevant Party at the address set forth below or to such other address as may be designated by a Party in writing in accordance with this Section.

11. AMENDMENTS; WAIVER; SEVERABILITY

11.1 Amendments. This Agreement may be amended, modified, or supplemented only by a written instrument signed by authorized representatives of both Parties.

11.2 Waiver. No waiver of any provision of this Agreement shall be effective unless made in writing and signed by the Party against whom the waiver is asserted. No failure or delay in exercising any right shall operate as a waiver.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. GOVERNING LAW; ENTIRE AGREEMENT; COUNTERPARTS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of law principles.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

12.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed originals for all purposes.
