LEGAL INTERCONNECTION AGREEMENT

This Legal Interconnection Agreement ("Agreement") is entered into as of Effective Date: by and between Party A Name: with principal address: and Party B Name: with principal address: .

RECITALS

WHEREAS, Party A operates communications facilities and provides telecommunications and data services to customers and desires to interconnect certain facilities with Party B for mutual exchange of traffic and related services; and

WHEREAS, Party B operates communications facilities and provides telecommunications and data services and agrees to interconnect with Party A under the terms set forth in this Agreement to ensure interoperability, operational coordination and appropriate compensation for exchanged traffic; and

WHEREAS, the parties wish to set forth their respective rights, duties, technical obligations, commercial terms and dispute resolution procedures in a single integrated contract.

NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below: "Point of Interconnection" or "POI" means the physical demarcation point identified in Section 4 where the parties hand-off traffic; "Interconnected Services" means voice, data, signalling, routing and ancillary services exchanged between the parties; "Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement.

2. SCOPE OF INTERCONNECTION

2.1 Provision of Interconnection. Each party shall provide interconnection facilities and services necessary to exchange Interconnected Services in a manner consistent with accepted industry standards and applicable law. The parties shall cooperate to provision, test and place into service the interconnection described herein.

2.2 Permitted Use. Interconnection shall be used solely for the transport, transmittal and exchange of traffic in the ordinary course of each party's provision of telecommunications or data services and shall not be used for resale of the other's services except by express written agreement.

3. TECHNICAL STANDARDS AND OPERATION

3.1 Standards. The parties shall implement and maintain interconnection in accordance with applicable technical standards, protocols and best practices for signaling, numbering, routing, quality of service and interoperability. Each party shall comply with lawful commercial and regulatory obligations related to numbering and lawful interception.

3.2 Operational Coordination. The parties shall maintain technical and operational contacts for provisioning, maintenance and fault resolution. Technical contact for Party A: Technical contact for Party B: .

4. POINT(S) OF INTERCONNECTION

4.1 Location. The initial Point(s) of Interconnection shall be established as follows:

4.2 Acceptance Testing. Prior to placing traffic over any new POI, the parties shall complete jointly agreed acceptance and performance tests. Traffic shall not be carried over a POI until it passes such tests.

5. CAPACITY, UPGRADES AND MAINTENANCE

5.1 Initial Capacity. The parties shall provision initial capacity per POI as follows: Initial Capacity: .

5.2 Upgrades. Either party may request capacity upgrades upon reasonable notice. Upgrades shall be performed at the requesting party's expense except where increased capacity is required to remedy congestion attributable to the other party's traffic, in which case cost responsibility shall be apportioned equitably.

6. RATES, BILLING AND PAYMENT

6.1 Rates. Charges for interconnection and transport under this Agreement shall be as follows: Monthly Recurring Charge: per POI unless otherwise agreed in writing.

6.2 Billing. Bills shall be issued by the charging party on a basis and shall set forth all charges and adjustments. Payment is due within days of invoice date.

6.3 Disputed Charges. The party disputing a charge shall provide written notice and supporting documentation within the payment period. Parties shall timely and in good faith attempt to resolve disputes, and undisputed portions shall be paid when due.

7. CONFIDENTIALITY AND DATA SECURITY

7.1 Confidentiality. Each party agrees to protect Confidential Information of the other party using at least the same degree of care it uses to protect its own confidential information and in no event less than reasonable care. Confidential Information may be disclosed only to employees, contractors or agents who have a need to know and who are bound to protect such information.

7.2 Security. Each party shall implement reasonable technical and organizational measures to protect the confidentiality, integrity and availability of exchanged traffic and any customer data received in the course of interconnection.

8. LIABILITY AND INDEMNIFICATION

8.1 Limitation of Liability. Except for liability arising from a party's gross negligence, willful misconduct, fraud, breach of confidentiality or indemnification obligations, neither party shall be liable to the other for indirect, incidental, consequential, punitive or special damages, including lost profits.

8.2 Indemnity. Each party (Indemnifying Party) shall indemnify, defend and hold harmless the other party (Indemnified Party) from and against any third-party claims arising out of (a) the Indemnifying Party's negligence or willful misconduct, or (b) the Indemnifying Party's breach of this Agreement.

9. TERM AND TERMINATION

9.1 Term. This Agreement shall commence on the Effective Date and continue for an initial term of months, and thereafter shall automatically renew for successive renewal periods of equal length unless either party provides written notice of non-renewal at least months prior to the end of the then-current term.

9.2 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach, provided that termination shall be effective only if the breach remains uncured at the end of such cure period.

10. NOTICES

Notices under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or, if sent by certified mail, three (3) business days after deposit.

11. AUDIT AND RECORDS

Each party shall maintain accurate books and records related to traffic, capacity and billing and shall permit the other party, or its designated auditor, to inspect such records upon reasonable advance notice and during normal business hours for the purpose of verifying compliance with this Agreement. Any examination shall be conducted at the requesting party's expense unless the audit reveals a material underpayment or misrepresentation, in which case the audited party shall bear the reasonable cost of the audit.

12. FORCE MAJEURE

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, strikes, riots, acts of governmental authority, pandemic, network outages caused by third parties, or other force majeure events; provided that the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

13. ASSIGNMENT

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets or corporate reorganization provided the assignee assumes all obligations hereunder.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to its conflict of law principles. Governing jurisdiction: .

15. ENTIRE AGREEMENT

This Agreement, including all exhibits and appendices expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements and representations, whether written or oral.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the parties' intent to the maximum extent permitted by law.

17. AMENDMENTS; WAIVER; COUNTERPARTS

17.1 Amendments. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

17.2 Waiver. The failure of either party to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.

17.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

18. DISPUTE RESOLUTION

The parties shall first attempt in good faith to resolve disputes through escalation between senior executives. If unresolved within thirty (30) days, either party may submit the dispute to binding arbitration in the governing jurisdiction, conducted by a single arbitrator under the applicable arbitration rules selected by agreement of the parties.
