LEGAL INVENTORY SUMMARY

This Legal Inventory Summary (the "Summary") is made as of Effective Date: by and between Client Name: with principal address: (Client), and Custodian Name: with principal address: (Custodian).

RECITALS

WHEREAS, Client has possession of certain physical and electronic items, documents and data relevant to matters identified as Matter Reference: ; and

WHEREAS, Custodian has agreed to receive, catalog, preserve and permit limited access to those items subject to the terms and conditions set forth below; and

WHEREAS, the parties desire to establish a contemporaneous and verifiable inventory, chain of custody procedures and conditions for retention, access and disposal of said items.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

1. DEFINITIONS

1.1 "Inventory Items" means the physical objects, electronic media, documents, samples, exhibits and related materials listed in Section 2 below and any attachments incorporated by reference.

1.2 "Chain of Custody" means the contemporaneous, dated record of possession and transfer of Inventory Items that provides traceability from the time of acquisition through final disposition.

1.3 "Legal Status" means the evidentiary or litigation status of an item, including whether it is subject to hold, privilege, confidentiality or court order.

2. INVENTORY

2.1 The Custodian shall create and maintain the inventory set forth below. Each entry shall be accompanied by identifying information, condition, custody designation and estimated value. The parties agree that the initial inventory entries are accurate as of the Effective Date absent subsequent written amendment.

3. CHAIN OF CUSTODY

3.1 Custodian shall maintain an auditable Chain of Custody log for each Inventory Item. Transfers shall be recorded contemporaneously, indicating date, time, person transferring, person receiving, purpose of transfer and condition of the item.

4. PRESERVATION, ACCESS AND SECURITY

4.1 Custodian shall preserve Inventory Items in their existing condition and shall not alter, destroy or modify any item except as authorized in writing by Client or by an order of a court of competent jurisdiction.

4.2 Access to Inventory Items shall be limited to authorized persons and only upon documented request. Custodian shall implement reasonable physical and technical safeguards, including secure storage and access logging.

5. VALUATION AND APPRAISAL

5.1 Estimated values stated in this Summary are preliminary. Any formal valuation shall be performed by an independent appraiser retained by the party requesting valuation, unless otherwise agreed by the parties in writing. Custodian makes no warranty as to monetary value.

6. CONFIDENTIALITY AND USE RESTRICTIONS

6.1 Custodian shall treat Inventory Items and all associated information as Confidential Information and shall not disclose or use such information except as necessary to perform obligations under this Summary or as required by court order. Any permitted disclosure shall be subject to obligations of confidentiality at least as protective as those provided herein.

7. RETENTION, DISPOSAL AND RETURN

7.1 Inventory Items shall be retained by Custodian for the period specified by Client or until order of a court of competent jurisdiction. No Inventory Item shall be destroyed or disposed of without the prior written consent of Client or as required by court order.

8. NOTICES

8.1 All notices, consents and communications required or permitted under this Summary shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 This Summary may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing signed by the party waiving compliance.

9.2 This Summary may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be treated as original signatures for all purposes.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Summary shall be governed by and construed in accordance with the laws of the state specified by the parties: , without regard to conflict of law principles.

10.2 Entire Agreement. This Summary, together with any attachments and contemporaneous inventories, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, oral or written, relating thereto.

10.3 Severability. If any provision of this Summary is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
