This Legal Inventory Template (the "Inventory") is made effective as of , by and between Owner Name: and Custodian Name: .

RECITALS

WHEREAS, Owner maintains certain tangible and intangible property of value and requires a formal record of such property to define custody, condition, valuation, and disposition; and

WHEREAS, Custodian is willing to accept responsibility for the custody, maintenance, and reporting of such items as set forth in this Inventory; and

WHEREAS, the parties wish to set forth the terms under which the Inventory will be maintained, updated, and relied upon for operational, insurance, and legal purposes.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. DEFINITIONS

For purposes of this Inventory: "Inventory Items" means the tangible or intangible assets listed in the Inventory Schedule; "Custody" means physical possession or primary administrative control; and "Owner" means the party identified above as Owner, including its successors and permitted assigns.

2. INVENTORY SCHEDULE

The Inventory Schedule attached below lists all Inventory Items as of the Effective Date and sets forth for each item: an identifying number, a detailed description, serial or identifying numbers, current physical location, designated custodian, condition, and estimated fair market value.

3. TITLE, RISK OF LOSS AND LIENS

Title to Inventory Items shall remain with Owner unless otherwise expressly conveyed in a separate written instrument. Custodian acknowledges responsibility for reasonable care and safekeeping of Inventory Items in its custody and bears the risk of loss only to the extent caused by Custodian's negligence or willful misconduct. Custodian warrants that, to the best of its knowledge, no Inventory Item is subject to liens, security interests, or other encumbrances except as disclosed in the applicable item record.

4. ACCESS, INSPECTION AND RECORDS

Owner or Owner's authorized representatives may, upon reasonable notice and during normal business hours, inspect Inventory Items and associated records. Custodian shall maintain accurate records of transfers, maintenance, repairs, and any incident affecting condition or value and shall update the Inventory Schedule within ten (10) business days of any material change.

5. MAINTENANCE, REPAIR AND REPLACEMENT

Custodian shall perform or arrange for routine maintenance in accordance with reasonable industry standards. Any repair or replacement with a value exceeding must be pre-approved in writing by Owner, except in emergencies where immediate action is necessary to prevent further loss or liability, in which case Custodian shall notify Owner promptly.

6. DISPOSAL AND RETURN

Disposal, sale, donation, or permanent removal of any Inventory Item requires the written consent of Owner. Upon termination of Custodian's responsibilities or upon request by Owner, Custodian shall promptly return Inventory Items in substantially the same condition, subject to normal wear and tear, or, if return is impracticable, shall compensate Owner in an amount equal to the fair market value.

7. CONFIDENTIALITY

Information contained in the Inventory Schedule and related records shall be treated as confidential by Custodian and shall not be disclosed to third parties except as required by law or as necessary to perform obligations under this Inventory, and then only on a confidential basis.

8. INDEMNITY

Custodian shall indemnify, defend, and hold harmless Owner from and against any loss, liability, claim, damage, cost, or expense (including reasonable attorneys' fees) arising out of Custodian's negligence, willful misconduct, or breach of this Inventory.

9. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Inventory, that this Inventory constitutes a legal, valid and binding obligation of such party enforceable in accordance with its terms, and that the execution and performance of this Inventory will not violate any agreement or law applicable to such party.

10. NOTICES

All notices required or permitted under this Inventory shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or overnight courier. Notices shall be effective upon receipt.

11. AMENDMENT, WAIVER, AND COUNTERPARTS

This Inventory may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Inventory may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

12. GOVERNING LAW

This Inventory shall be governed by and construed in accordance with the laws of the jurisdiction provided by the parties below without regard to conflict of law principles.

13. ENTIRE AGREEMENT; SEVERABILITY

This Inventory constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Inventory is held invalid or unenforceable, the remainder of this Inventory shall remain in full force and effect.

14. CERTIFICATION

Each party certifies that the information provided in the Inventory Schedule is true, accurate, and complete to the best of its knowledge, that the signatory below is authorized to execute this Inventory on behalf of the respective party, and that the party will notify the other promptly of any material change to the Inventory.
