Each party shall hold Confidential Information in confidence and shall not disclose it except (a) to its counsel, accountants or agents who have a need to know and are bound by confidentiality obligations, (b) as required by applicable law or court order (in which case the disclosing party shall provide prompt notice), or (c) as otherwise agreed in writing. Confidentiality obligations survive for a period of from the date of the meeting.

6. NO CONTRACTUAL OFFER

Except as expressly provided in a separate written agreement executed by the parties, this Invitation is not an offer to enter into any contract, nor shall attendance, communications, or statements made at the meeting be construed as acceptance of any offer or waiver of claims unless set forth in a written instrument signed by the authorized representatives of the parties.

7. LIABILITY AND INDEMNIFICATION

Each party shall be responsible for its own acts and omissions in connection with attendance. Invitee agrees to indemnify and hold harmless Inviter from and against any and all claims, costs, liabilities or expenses (including reasonable attorneys' fees) arising from Invitee's failure to comply with the terms of this Invitation, except to the extent caused by Inviter's gross negligence or willful misconduct.

8. NOTICES

All notices, requests, consents, claims, demands and other communications required or permitted under this Invitation shall be in writing and delivered to the addresses set forth below and shall be effective upon receipt when delivered in person, by certified mail (return receipt requested), or by nationally recognized overnight courier; email notice to an authorized representative is permitted if the sending party obtains written acknowledgement of receipt.

9. AMENDMENTS AND WAIVER

This Invitation may be amended or modified only by a written instrument duly executed by both parties. No failure or delay by either party in exercising any right under this Invitation shall operate as a waiver of such right, unless such waiver is in writing and signed by the party waiving the right.

10. GOVERNING LAW
