LEGAL JCM CONTRACT

This Legal JCM Contract (the "Agreement") is entered into as of , by and between Client Name: , an entity organized as: , with principal place of business at ; and Contractor Name: , an entity organized as: , with principal place of business at .

RECITALS

WHEREAS, Client desires to engage Contractor to perform certain services described herein and Contractor represents that it has the experience, personnel, and qualifications necessary to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide services to Client and to allocate risks between them.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the work and deliverables described in Section 2. 1.2 "Confidential Information" means information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential. 1.3 Terms not otherwise defined in this Agreement shall have the meanings ascribed to them in the context in which they are used.

2. SCOPE OF SERVICES

2.1 Contractor shall perform the Services described below in a professional and workmanlike manner and in accordance with the schedule agreed by the parties.

3. COMPENSATION

3.1 Client shall pay Contractor the fees set forth below in consideration for the full and timely performance of the Services. Unless otherwise agreed in writing, all fees are payable in U.S. dollars.

3.2 Expenses: Client shall reimburse Contractor for reasonable and documented out-of-pocket expenses pre-approved in writing by Client. Reimbursement requests shall be supported by receipts.

4. TERM AND TERMINATION

4.1 Term: The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

4.2 Termination for Cause: Either party may terminate this Agreement for material breach by the other party that is not cured within days after written notice specifying the breach.

5. CONFIDENTIALITY

5.1 Each party shall maintain the other's Confidential Information in strict confidence and shall not disclose such information except to its employees or advisors who have a need to know and are bound to maintain confidentiality. The receiving party shall use Confidential Information only for performance under this Agreement.

6. INTELLECTUAL PROPERTY

6.1 Work Product: All work product, deliverables, inventions, designs, documentation, and other materials created by Contractor specifically for Client under this Agreement ("Work Product") shall be deemed "work made for hire" and shall be the sole and exclusive property of Client. To the extent ownership of Work Product does not automatically vest in Client, Contractor hereby assigns to Client all right, title and interest in and to such Work Product.

6.2 Contractor retains ownership of its pre-existing materials, tools, methodologies, and know-how. Contractor grants Client a non-exclusive, royalty-free license to any Contractor pre-existing materials to the extent incorporated into the Work Product.

7. REPRESENTATIONS AND WARRANTIES

7.1 Each party represents and warrants that it has the full power and authority to enter into this Agreement, that its execution thereof does not violate any other agreement, and that it will comply with applicable laws in performing its obligations.

7.2 Contractor warrants that the Services will be performed in a professional manner in accordance with industry standards. Client's sole remedy for breach of this warranty shall be re-performance of the deficient Services or, if Contractor fails to re-perform, refund of fees paid for the deficient Services.

8. INDEMNIFICATION

8.1 Contractor shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against all third-party claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Contractor's gross negligence, willful misconduct, or material breach of this Agreement, including any claim that the Work Product infringes a third party's intellectual property rights.

9. LIMITATION OF LIABILITY

9.1 Except for liability arising from a party's willful misconduct or gross negligence or for indemnity obligations under Section 8, neither party shall be liable for incidental, consequential, special or punitive damages. The aggregate liability of each party for claims arising out of or related to this Agreement shall not exceed .

10. INSURANCE

10.1 During the term of this Agreement, Contractor shall maintain insurance coverage customary for the Services provided, including commercial general liability and, where applicable, professional liability insurance. Upon request, Contractor shall provide certificates of insurance to Client.

11. NOTICES

11.1 All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses below by personal delivery, nationally recognized overnight carrier, or certified mail (return receipt requested).

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

13. ENTIRE AGREEMENT

This Agreement, together with any attached exhibits and schedules, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted so as reasonably to effect the intent of the parties.

15. AMENDMENTS; WAIVER; COUNTERPARTS

15.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. 15.2 No waiver shall be effective unless in writing. 15.3 This Agreement may be executed in counterparts, each of which shall be deemed an original, and executed copies delivered by electronic means shall be binding.

16. MISCELLANEOUS

16.1 Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets. 16.2 Relationship of Parties: The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship.
