RECITALS

1.1 "Consent" means the express written authorization granted by Joint Consenter Name to Client Name under the terms of this Agreement to use, reproduce, distribute, and otherwise exploit the Materials solely as set forth herein.

1.2 "Confidential Information" means information designated as confidential or which, by its nature, ought reasonably to be treated as confidential, including but not limited to personal data, trade secrets, and proprietary materials.

2. GRANT OF CONSENT

2.1 Subject to the terms of this Agreement, Joint Consenter Name hereby grants to Client Name a non-exclusive, (select one): .

3.1 Unless otherwise limited above, this Consent shall commence on the Effective Date and continue for a period of or until terminated in accordance with Section 3.2.

3.2 Revocation. Joint Consenter Name may revoke this Consent only upon material breach by Client Name that is not cured within thirty (30) days after written notice specifying the breach. Revocation shall not affect uses already lawfully undertaken in reliance on the Consent prior to the effective date of revocation.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement has been duly authorized by all necessary action.

Joint Consenter Name further represents that to the best of its knowledge the granting of this Consent does not violate the rights of any third party and that Joint Consenter Name has the legal right to grant the rights granted herein.

5. CONFIDENTIALITY

5.1 Except as expressly permitted in this Agreement, Client Name shall not disclose Confidential Information to any third party without prior written consent of Joint Consenter Name. Client Name shall use at least reasonable care to protect Confidential Information from unauthorized disclosure.

5.2 The obligations under this Section shall survive termination or expiration of this Agreement for a period of three (3) years, unless otherwise required by law.

6. INTELLECTUAL PROPERTY AND USE

6.1 Joint Consenter Name grants Client Name a license to use the Materials as specified herein. Title to any pre-existing intellectual property of either Party remains with that Party. Any derivative works created by Client Name shall be owned by .

6.2 No Compensation. Unless otherwise agreed in writing, Joint Consenter Name shall not be entitled to additional compensation for the uses authorized by this Agreement.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

7.1 Indemnification. Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims arising out of its breach of this Agreement or its negligent or willful misconduct.

7.2 Limitation. Except for liability arising from willful misconduct or gross negligence, in no event shall either Party be liable for consequential, incidental, special, or punitive damages.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties agree that exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in that state.

Entire Agreement. This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement of the Parties with respect to the subject matter and supersedes all prior negotiations, understandings, and agreements between the Parties.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

Amendments and Waiver. No amendment or waiver of any provision of this Agreement shall be effective unless in a writing signed by both Parties. The failure of either Party to enforce any right under this Agreement shall not constitute a waiver of that right.

Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective.
