LEGAL JOINT DIRECTION AGREEMENT

RECITALS

WHEREAS, the Parties desire to give joint, binding directions to a third party in respect of certain actions described herein and to establish the procedures and authority by which such joint directions shall be issued and effectuated; and

WHEREAS, the Parties have agreed that joint directions shall be delivered to the Recipient/Agent identified below and acted upon by such Recipient/Agent in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 In this Agreement, unless the context otherwise requires, the following terms have the meanings set forth below:

"Joint Direction" means any written instruction, notice or direction delivered jointly by the authorized representatives of the Parties to the Recipient/Agent directing the Recipient/Agent to take, omit or permit a specified action relating to the subject matter set out in this Agreement.

"Recipient/Agent" means the third party to whom the Parties deliver a Joint Direction. Recipient/Agent Name: .

2. JOINT DIRECTION

2.1 Authority to Issue. The Parties hereby agree that Joint Directions may be issued only when each Party has authorized the form and content of the Joint Direction in the manner set forth in Section 3. A Joint Direction shall be binding upon both Parties and the Recipient/Agent effective upon delivery in the manner described in Section 7.

3.1 Execution Requirement. Each Party shall provide a duly authorized signature or other written authorization evidencing consent to the form and content of each Joint Direction. No Joint Direction shall be effective unless executed or otherwise approved in writing by both Parties.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party as of the Effective Date and on each occasion it issues a Joint Direction that:

(a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization and has the power and authority to enter into and perform its obligations under this Agreement;

(b) the execution, delivery and performance of this Agreement by such Party have been duly authorized by all necessary corporate or other action and do not and will not (i) violate any law, statute or regulation applicable to such Party, (ii) conflict with or result in a breach of any material agreement to which such Party is a party, or (iii) require any consent of any third party not already obtained;

(c) any Joint Direction executed by such Party will be a valid and binding obligation enforceable against such Party in accordance with its terms.

5. COVENANTS

5.1 Cooperation. Each Party covenants to cooperate in good faith to effectuate the Joint Directions and to provide prompt notice to the other Party of any circumstance that may reasonably be expected to prevent or impair performance.

5.2 No Independent Amendment. Neither Party shall unilaterally amend a Joint Direction after issuance without the prior written consent of the other Party.

6. INDEMNITY AND LIABILITY

6.1 Indemnity. Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party (the "Indemnified Party") from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach by the Indemnifying Party of its representations, warranties, covenants or obligations under this Agreement or any Joint Direction issued by the Indemnifying Party.

6.2 Recipient/Agent Reliance. The Parties agree that the Recipient/Agent may rely conclusively on any Joint Direction that is delivered in accordance with this Agreement and that the Recipient/Agent shall not be required to investigate the authority of the signatories beyond the confirmations required under this Agreement.

7. NOTICES

7.1 All notices, requests, demands and other communications under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as either Party may designate by notice to the other in accordance with this Section.

8. AMENDMENT; WAIVER

8.1 This Agreement may be amended, modified or supplemented only by an instrument in writing signed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom the waiver is sought to be enforced.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to principles of conflict of laws. Governing Law:

10.1 This Agreement constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the Parties with respect to such subject matter.

10.2 If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby, and the Parties shall negotiate in good faith to agree the replacement provision to achieve as nearly as possible the economic and legal effect of the invalid provision.

11. COUNTERPARTS; SIGNATURES

11.1 This Agreement may be executed in one or more counterparts, each of which shall be an original and all of which together shall constitute one and the same agreement. Signatures transmitted by electronic means or facsimile shall be deemed to be original signatures for all purposes.

12. MISCELLANEOUS

12.1 Interpretation. Headings are inserted for convenience only and shall not affect the interpretation of this Agreement. References to Sections are to the Sections of this Agreement unless otherwise indicated.

12.2 Further Assurances. Each Party shall execute and deliver such other documents and shall take such further actions as may be reasonably required to carry out the purposes of this Agreement.
