RECITALS

WHEREAS, Plaintiff has asserted claims against Defendant arising from the matters set forth in the pleadings filed in the above-captioned case; and

WHEREAS, the parties have negotiated a resolution of those claims and desire to reduce the agreed terms to a final judgment enforceable by the court; and

WHEREAS, the parties consent to entry of judgment by the court in accordance with the terms set forth below without admission of liability beyond the express terms of this instrument.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the parties hereby agree as follows:

1. JUDGMENT

Judgment is hereby entered in favor of Plaintiff and against Defendant in the principal amount of (the "Judgment Amount"), plus post-judgment interest as set forth below, costs, and recoverable fees. The Judgment Amount constitutes a final monetary judgment enforceable by execution, garnishment, attachment, or other remedies permitted by law.

2. PAYMENT TERMS

Defendant shall satisfy the Judgment Amount according to the following terms: Initial payment of due on or before , followed by equal monthly installments of commencing on until paid in full.

3. INTEREST

Post-judgment interest shall accrue on the unpaid principal balance at the rate of per annum, calculated daily and compounded as permitted by law, from the entry of judgment until the Judgment Amount is paid in full. In the event state or federal law prescribes a different rate for post-judgment interest, such statutory rate shall govern.

4. COSTS, ATTORNEYS' FEES, AND TAXES

Plaintiff shall be entitled to recover taxable costs and reasonable attorneys' fees incurred in the prosecution and enforcement of this judgment to the extent allowed by statute or contract. Recoverable costs and fees not awarded by the court are acknowledged by the parties to be in the amount of unless otherwise determined by the court.

5. LIENS, SECURITY, AND RECORDING

To secure payment of the Judgment Amount, Defendant hereby grants Plaintiff a lien/security interest in the following described property or assets: If the parties intend for a judgment lien to be recorded or for security documents to be executed, such recording or execution shall occur within days following entry of judgment.

6. DEFAULT AND REMEDIES

If Defendant fails to make any payment when due and such failure continues for a period of days after written notice, Plaintiff may declare the entire unpaid balance immediately due and payable and exercise all remedies available under law, including but not limited to execution, garnishment, repossession of secured property, and application for writs. Plaintiff shall give written notice of default to the addresses set forth below prior to enforcement.

7. RELEASE; RESERVATION OF RIGHTS

Upon full satisfaction of the Judgment Amount, Plaintiff shall execute and deliver to Defendant a written release of the claims expressly released herein. Except as expressly provided in this Consent Judgment, all rights and claims not expressly released are reserved. The parties acknowledge that this Consent Judgment does not constitute a general release of claims unrelated to the matters resolved herein.

8. NOTICES

All notices, demands, and other communications required or permitted under this Consent Judgment shall be in writing and shall be deemed properly given when personally delivered or sent by certified mail, return receipt requested, or by nationally recognized overnight courier, to the addresses below.

9. AMENDMENT; WAIVER

No modification, amendment, or waiver of any provision of this Consent Judgment shall be effective unless in writing and executed by both parties. No failure or delay by any party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Consent Judgment shall be governed by and construed in accordance with the laws of the jurisdiction of the court in which the case is pending, without regard to conflict of law principles that would apply the laws of another jurisdiction.

11. ENTIRE AGREEMENT

This Consent Judgment contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written.

12. SEVERABILITY

If any provision of this Consent Judgment is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect.

13. COUNTERPARTS; EXECUTION

This Consent Judgment may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be effective for all purposes.

14. CERTIFICATION

Each signatory represents and warrants that he or she is duly authorized to execute and deliver this Consent Judgment on behalf of the party for whom they sign and that the execution and delivery of this Consent Judgment and the performance of such party's obligations hereunder have been duly authorized.
