LEGAL LAPTOP AGREEMENT

This Legal Laptop Agreement ("Agreement") is made as of by and between Owner Name: with a principal address at and Borrower Name: with a principal address at .

RECITALS

WHEREAS, Owner possesses the computer equipment described below and agrees to permit Borrower to possess and use such equipment subject to the terms and conditions of this Agreement; and

WHEREAS, Borrower requires possession of the equipment for the purpose of performing Borrower's duties and acknowledges Borrower's responsibility for safekeeping, proper use, maintenance, and return; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the loan, use, protection of data, and return of the equipment.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

"Equipment" means the laptop computer and accessories described in Section 2 below. "Loss" means damage, destruction, theft, or loss of the Equipment. "Business Data" means any confidential or proprietary information stored on the Equipment.

The Equipment is loaned for the period commencing on and ending on unless earlier terminated under this Agreement. The term may be extended only by a written amendment signed by both parties.

4. Use, Care, and Restrictions

Borrower shall at all times exercise reasonable care in the possession and use of the Equipment, shall use the Equipment only for lawful purposes related to Borrower's duties, and shall comply with Owner's security policies. Borrower shall not (a) remove the Equipment from the country of initial possession without Owner's prior written consent, (b) allow any third party to use the Equipment without Owner's prior written consent, or (c) attempt any unauthorized repair or modification.

5. Software, Data Security and Confidentiality

All software installed on the Equipment remains the property of its licensor and may be used only in accordance with applicable license terms. Borrower shall implement commercially reasonable safeguards, including encryption and password protection, to protect Business Data. Borrower shall not remove, copy, or transfer Business Data except as necessary for performance of Borrower's duties. Upon request or upon termination, Borrower shall promptly return or securely delete Business Data and certify deletion in writing.

6. Maintenance, Repair and Unauthorized Repairs

Owner is responsible for routine maintenance unless damage is caused by Borrower's misuse. Borrower must report malfunctions or damage immediately. Borrower shall not authorize third-party repairs without Owner's written consent. Unauthorized repairs or attempted self-repair void Owner's obligations and may result in Borrower's liability for costs.

7. Loss, Theft or Damage; Insurance; Replacement Value

Borrower is responsible for Loss resulting from Borrower's intentional acts, negligence, or failure to exercise reasonable care. In the event of Loss, Borrower shall notify Owner and, if applicable, law enforcement immediately. Replacement value or repair costs shall be determined by Owner in good faith. The estimated replacement value at the time of delivery is $ .

8. Indemnification

Borrower shall indemnify, defend and hold Owner harmless from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Borrower's use of the Equipment, Borrower's breach of this Agreement, or Borrower's negligence or willful misconduct.

9. Return of Equipment and Inspection

Upon expiration or earlier termination of this Agreement, Borrower shall return the Equipment in the same condition as received, ordinary wear and tear excepted, to Owner within five (5) business days. Owner may inspect the Equipment at reasonable times. If returned Equipment shows damage beyond ordinary wear and tear, Borrower shall be responsible for repair or replacement costs.

10. Remedies

Owner's remedies for Borrower's breach include repossession of the Equipment, recovery of repair or replacement costs, withholding of wages or other amounts due to Borrower to the extent permitted by law, and pursuit of any other remedies available at law or equity.

11. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at their addresses set forth below or such other address as a party designates by written notice in accordance with this Section.

12. Amendments and Waiver

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by a party in exercising any right shall constitute a waiver of that right.

13. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below, without regard to its conflict of law principles.

15. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Miscellaneous Provisions
