2.1 Recipient acknowledges and agrees that Provider is not a law firm, and no attorney-client relationship or fiduciary relationship is established by reason of Provider's furnishing of Materials. Provider does not provide legal representation or legal advice tailored to Recipient’s specific facts, and the Materials are not a substitute for professional legal counsel.

3. Use of Materials; Limitations

3.1 Recipient may use Materials only in accordance with Permitted Use. Recipient shall not represent to any third party that Provider has provided legal advice or has endorsed Recipient’s use of any document in any jurisdiction.

3.2 Recipient is solely responsible for verifying that any Materials used comply with applicable laws, rules, and regulations in the jurisdictions where they are used, and for modifying Materials to address Recipient's particular circumstances.

PROVIDER MAKES NO REPRESENTATION THAT THE MATERIALS ARE COMPLETE, CORRECT, OR SUITABLE FOR ANY PARTICULAR USE.

5. Limitation of Liability

5.1 IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.2 NOTWITHSTANDING THE FOREGOING, TO THE EXTENT LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, PROVIDER'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS DISCLAIMER OR THE MATERIALS SHALL NOT EXCEED THE AMOUNT RECEIVED BY PROVIDER FROM RECIPIENT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6. Indemnification

6.1 Recipient shall defend, indemnify, and hold harmless Provider and its officers, directors, employees, and agents from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Recipient's use or distribution of the Materials, or any claim by a third party arising from Recipient's failure to obtain independent legal advice where required.

7. Confidentiality

7.1 Unless otherwise agreed in writing, Materials provided to Recipient are not confidential, provided that any information designated in writing as confidential by either party and exchanged in the course of a separate engagement shall be treated in accordance with the confidentiality terms of that engagement.

8. Notices

8.1 Notices under this Disclaimer shall be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses provided in this section or to such other address as a party may designate by notice hereunder. Notice is effective upon receipt.

9. Amendments; Waiver; Severability; Counterparts

9.1 This Disclaimer may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right hereunder shall operate as a waiver of that right. If any provision of this Disclaimer is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
