LEGAL SERVICES ENGAGEMENT AGREEMENT

This Legal Services Engagement Agreement ("Agreement") is made and entered into on this day: Day Month Year by and between Law Firm Name: with principal place of business at (hereinafter "Firm"), and Client Name: whose address is (hereinafter "Client").

RECITALS

WHEREAS, Client desires to retain Firm to provide legal services in connection with the matter described below; and

WHEREAS, Firm represents that it is duly licensed, experienced and competent to render such legal services and is willing to provide such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties hereby set forth their entire agreement with respect to the engagement of Firm by Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client retains Firm to provide legal services as set forth in this Agreement and any written engagement letter or scope addendum incorporated by reference. The initial matter to be handled by Firm is described as:

1.2 Scope. Firm shall provide legal services reasonably necessary to represent Client in the above-described matter. The scope does not include services specifically excluded in writing. Material expansion of the scope will require a written amendment to this Agreement and may require additional compensation.

2. ATTORNEY DUTIES; CLIENT COOPERATION

Firm will exercise reasonable skill, care and diligence in the representation of Client, subject to the applicable rules of professional conduct. Client agrees to cooperate fully, provide documents, be available for consultation, and to disclose all facts material to the representation.

3. FEES; RETAINER; BILLING AND PAYMENT

3.1 Fee Arrangement. Client will compensate Firm as follows (select applicable fee arrangement and complete the corresponding fields):

3.2 Retainer. Client shall pay an initial retainer of $ to be held in Firm's trust account and applied against fees and costs in accordance with applicable fiduciary rules. Unused funds will be returned to Client upon final accounting.

3.3 Billing. Firm will render periodic invoices itemizing fees, costs and disbursements. Invoices are due within days of receipt. A late payment may be subject to interest and Firm may suspend services if payments are not made as required.

4. COSTS AND EXPENSES

Client shall be responsible for all out-of-pocket costs and expenses reasonably incurred on Client's behalf, including filing fees, court reporter fees, expert fees, travel and delivery charges. Firm may require an advance deposit for anticipated expenses in the amount of $ .

5. CONFIDENTIALITY; ATTORNEY-CLIENT PRIVILEGE

Firm shall maintain the confidentiality of information obtained in the course of representation in accordance with applicable law and ethical rules. Communications subject to attorney-client privilege shall remain privileged. Client acknowledges that Firm may consult with outside experts or co-counsel, provided such persons are bound to maintain confidentiality.

6. CONFLICTS OF INTEREST

Firm represents that, to the best of its knowledge following reasonable inquiry, no conflict of interest exists that would preclude the representation. If a conflict arises, Firm will notify Client and, if required, obtain informed written consent or withdraw in accordance with professional obligations.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Upon termination, Client shall remain liable for fees and costs incurred through the effective date of termination and for reasonable costs of transition. Firm may withdraw for good cause, including nonpayment, conflict of interest, or failure of Client to cooperate.

8. FILES AND RECORDS

Firm's file, excluding funds and items belonging to Client, will be retained in accordance with Firm's document retention policy. Client may request a copy of the file; Firm may charge for copying and delivery. Records will be retained for a period of after conclusion of the matter unless otherwise required by law.

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party designates by written notice.

10. DISPUTE RESOLUTION

The parties agree to attempt to resolve any dispute arising under this Agreement through good faith negotiation. If unresolved, the parties agree to submit disputes to binding arbitration conducted by a mutually agreed arbitrator, unless the parties expressly elect to proceed in court for injunctive or emergency relief. 11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in that state, except where arbitration is elected.

12. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. The waiver of any breach shall not constitute a waiver of any other breach.

13. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any written engagement letters or scope addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be binding for all purposes.

15. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect its interpretation. Any obligation which by its nature extends beyond termination shall survive termination.
