RECITALS

WHEREAS, Client has approached Assessor to evaluate preliminary facts, documents and potential causes of action or defenses relating to a prospective legal matter described below; and

WHEREAS, Assessor has represented that the individuals identified above conduct intake assessments, conflict checks and initial legal analysis for the purpose of determining whether engagement, referral or further investigation is appropriate under the terms herein; and

WHEREAS, the Parties wish to memorialize the scope, assumptions, confidentiality obligations and limitations applicable to this assessment in order to manage expectations and preserve potential privilege where appropriate.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. SCOPE OF ASSESSMENT

1.1 Purpose. Assessor shall perform a preliminary factual and legal assessment limited to the matters and documents submitted by Client and identified below. This assessment is intended solely to advise whether further investigation or a formal engagement is recommended and to identify immediate conflict issues, potential claims or defenses, and key thresholds for relief.

2. CLIENT REPRESENTATIONS AND MATERIALS

2.1 Client represents and warrants that all documents and information supplied to Assessor are true, accurate and complete to the best of Client's knowledge. Client shall promptly supplement materials if additional relevant facts or documents become known.

3. ASSESSOR RESPONSIBILITIES; DELIVERABLES

3.1 Assessor will conduct an intake interview, perform a conflicts check, review any provided materials, and deliver a written Assessment Report summarizing findings, potential causes of action or defenses, recommended next steps, and a good faith estimate of time and fees for further engagement. Assessor's obligations are limited to those expressly set forth in this Form.

4. CONFLICTS OF INTEREST

4.1 Assessor shall perform a reasonable conflicts search based on the information provided by Client. If a disqualifying conflict is discovered, Assessor will promptly notify Client and decline representation. Discovery of a non-disqualifying conflict will be reported and, where permitted, may be waived in writing by Client.

Client elects to provide a limited conflict waiver for non-disqualifying matters where appropriate and authorizes Assessor to proceed subject to the waiver being documented in a subsequent engagement agreement.

5. CONFIDENTIALITY

5.1 Subject to the reserves below, the Parties agree to treat all non-public information exchanged in connection with this assessment as confidential. Confidential information does not include information that (a) is or becomes publicly available through no breach by the receiving party; (b) is independently developed without use of the other party's confidential information; or (c) is required to be disclosed by law or court order, provided the disclosing party gives prior notice where permitted.

5.2 The provision of information for the preliminary assessment does not automatically establish attorney-client privilege. Client expressly identifies the materials that Client asserts are privileged and requests Assessor to treat such materials as privileged where applicable.

6. NO ATTORNEY-CLIENT RELATIONSHIP

6.1 Nothing in this Form, delivery of the Assessment Report, or any preliminary advice shall constitute an attorney-client relationship nor shall Assessor undertake legal representation of Client unless and until the Parties execute a separate written engagement agreement signed by both Parties specifying scope, fees and other terms. Client acknowledges that no privileged communications will attach to communications made prior to an executed engagement, except where privilege is applicable by law to specific materials designated by Client.

7. FEES, RETAINER AND EXPENSES

7.1 The assessment itself may be provided on a fixed-fee or hourly basis as agreed in writing. Any fee estimates provided are non-binding and subject to change if additional facts or document review materially alter the scope. If further engagement is recommended, a separate fee agreement will be required.

8. LIMITATION OF LIABILITY

8.1 Assessor's liability arising from or related to this assessment shall be limited to direct damages and, in any event, shall not exceed the amount of fees paid by Client to Assessor for the assessment. Under no circumstances shall Assessor be liable for consequential, incidental, punitive or special damages. This limitation applies regardless of legal theory and to the fullest extent permitted by law.

9. NOTICES

9.1 All notices, consents or other communications required or permitted under this Form shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses provided below or to such other address as either Party may designate in writing.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 This Form may be amended only by a written instrument executed by both Parties. No failure or delay by either Party in exercising any right hereunder shall operate as a waiver of such right. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 This Form shall be governed by and construed in accordance with the laws of the jurisdiction identified in the Jurisdiction field above, without regard to conflict of laws principles. This Form constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
