7. Indemnification

Each Party shall indemnify, defend and hold harmless the other Party from and against any loss, liability, damage, cost or expense (including reasonable attorneys' fees) arising from a breach of any representation, warranty or covenant set forth in this Letter.

All notices required or permitted under this Letter shall be in writing and delivered to the addresses set forth below. Notices are effective upon receipt when delivered personally, three (3) days after deposit in certified mail, or the date of confirmed electronic delivery if sent by email with confirmation.

9. Amendments; Waiver
