LEGAL LETTER OF AGENCY

RECITALS

The authority granted is non-exclusive unless otherwise stated herein.

1.2 Scope of authority: Agent is authorized to take the following actions on behalf of Principal. Select all authorities granted:

2. LIMITATIONS AND CONDITIONS

2.1 The authority granted to Agent is limited to the specific matters described in Section 1 and shall not be construed to permit Agent to take actions expressly prohibited in writing by Principal. Agent shall act in good faith, in Principal's best interests, and in accordance with Principal's reasonable instructions.

2.2 Principal hereby certifies that Agent's actions within the scope of this Letter of Agency shall bind Principal to the same extent as if Principal had performed such acts personally, and third parties may rely on such acts until notice of revocation is effectively delivered as provided herein.

3. TERM; REVOCATION

3.1 This Letter of Agency shall become effective on the date set forth above and shall remain in effect until unless earlier revoked in accordance with Section 3.2.

3.2 Principal may revoke this Letter of Agency at any time by delivering written notice of revocation to Agent and to any third party reasonably expected to rely on this Letter of Agency. Revocation will be effective upon receipt by the recipient; however, third parties who have acted in reliance prior to receipt shall remain protected.

4. REPRESENTATIONS AND WARRANTIES

4.1 Principal represents and warrants that Principal is of legal capacity and has full authority to appoint Agent and to grant the powers set forth herein. This Letter of Agency does not violate any agreement or legal obligation of Principal.

4.2 Agent represents and warrants that Agent will act within the scope of authority granted, will comply with applicable laws and fiduciary obligations, and will not act for a conflicting interest unless disclosed and consented to in writing by Principal.

5. INDEMNIFICATION

5.1 Principal shall indemnify and hold harmless Agent from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Agent's good faith performance of duties under this Letter of Agency, except to the extent caused by Agent's gross negligence, willful misconduct or material breach of representations.

6. THIRD-PARTY RELIANCE

6.1 Third parties may rely upon a copy or facsimile of this Letter of Agency as if it were an original. Principal authorizes Agent to furnish copies of this Letter of Agency to third parties as evidence of Agent's authority.

7. NOTICES

All notices, requests, demands and other communications required or permitted under this Letter of Agency shall be in writing and delivered to the addresses below by hand delivery, certified mail (return receipt requested), or nationally recognized overnight courier.

8. AMENDMENT; WAIVER

8.1 This Letter of Agency may be amended or modified only by a written instrument signed by both Principal and Agent. No waiver of any provision shall be effective unless set forth in a signed writing, and a waiver of any breach shall not constitute a waiver of any subsequent breach.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT
