LEGAL LETTER OF AUTHORITY

This Letter of Authority is made on this day of , by and between Principal Name: with principal address: (hereinafter "Principal"), and Authorized Representative Name: with address: (hereinafter "Agent").

RECITALS

2. SCOPE OF AUTHORITY

2.1 The authority granted to Agent includes the following specific powers, which Agent may exercise on behalf of Principal where indicated:

Execute, deliver and sign contracts, agreements and instruments related to the matters described herein.

Access, obtain and manage records, accounts, statements and other information from financial institutions and service providers.

Communicate with third parties, counsel, advisors and governmental or regulatory bodies on matters reasonably related to the authority granted.

3. LIMITATIONS

3.1 Agent shall not have authority to make personal or financial decisions on behalf of Principal that would transfer, sell, mortgage or otherwise encumber Principal's real property unless expressly authorized in writing in this Letter of Authority. Any exercise of authority outside the scope set forth herein is void ab initio.

3.2 Agent shall act in good faith, with reasonable care, and in the best interests of Principal. Agent shall not delegate duties granted by this Letter except as expressly permitted in writing by Principal.

4. TERM; EFFECTIVE DATE; TERMINATION

4.1 This Letter of Authority shall become effective on the day of , (the "Effective Date").

4.2 Unless earlier revoked in accordance with Section 5, the authority granted hereunder shall continue until the day of , , unless renewed or extended by written agreement signed by both parties.

5. REVOCATION

6.2 Agent represents and warrants that Agent has not been disqualified by operation of law from serving in a representative capacity and will perform duties in accordance with applicable law and professional standards.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

7.1 Principal shall indemnify, defend and hold harmless Agent from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) incurred by Agent arising out of actions taken in good faith within the scope of the authority granted herein, except to the extent caused by Agent's gross negligence, willful misconduct or bad faith.

7.2 In no event shall Agent be liable for indirect, incidental, consequential or punitive damages except for those arising from Agent's gross negligence or willful misconduct.

8. NOTICES

8.1 All notices, requests or other communications required or permitted under this Letter of Authority shall be in writing and shall be delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the parties at their respective notice addresses set forth below or at such other address as either party shall designate in writing.

9. GOVERNING LAW

9.1 This Letter of Authority shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

10. MISCELLANEOUS

10.1 Entire Agreement. This Letter of Authority constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.2 Amendments. This Letter of Authority may be amended only by a written instrument signed by both Principal and Agent.
