2. NATURE AND SCOPE OF SUPPORT

2.1 Types of Support. Support may include one or more of the following as indicated by the parties: written endorsement, introductions to identified third parties, provision of technical advice, and, if expressly agreed, a financial contribution. Specific forms of support intended by Supporter are described as follows:

Except where Supporter executes a separate written agreement expressly stating a binding obligation to provide financial support, the commitments described in this Letter are statements of intent only and are not legally binding promises to provide funds or to guarantee the performance of the Project.

3. CONDITIONS AND CONTINGENCIES

3.1 Conditions Precedent. Supporter's obligation to perform any act described in Section 2 is subject to the satisfaction of the following conditions precedent (as applicable): approval by Supporter's board or authorized officer, satisfactory completion of due diligence, receipt of required permits, and execution of any required definitive agreements.

3.2 Expiration. Unless earlier revoked in writing by Supporter, this Letter of Support expires on .

4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that (a) it has the full corporate power and authority to enter into and perform its obligations under this Letter, (b) the execution and delivery of this Letter has been duly authorized by all necessary corporate or organizational action, and (c) this Letter constitutes a valid and binding obligation enforceable against it in accordance with its terms, except as limited by the non-binding language expressly set forth herein.

5. LIMITATION OF LIABILITY; NO GUARANTEE

Except to the extent that Supporter has executed a separate, written commitment agreement specifying binding financial obligations, Supporter shall have no liability to Recipient or any third party for any costs, losses, damages, or liabilities arising out of or related to the Project, and Supporter does not guarantee the success of the Project or the receipt of funding from other sources.

6. CONFIDENTIALITY

If either party designates material as confidential at the time of disclosure, the receiving party shall treat such material as confidential for a period of three (3) years from disclosure, except for information that (a) is or becomes publicly available other than by breach of this Letter, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) is required to be disclosed by law or court order.

7. NOTICES

All notices, requests, demands and other communications required or permitted under this Letter shall be in writing and delivered to the addresses below (or to such other address as a party may designate by written notice in accordance with this Section):

This Letter may be amended only by a written instrument executed by both parties. No waiver of any provision of this Letter shall be effective unless in writing and signed by the party granting the waiver. This Letter may be executed in any number of counterparts, each of which shall constitute an original and all of which together shall constitute one instrument.

9. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

10. ENTIRE AGREEMENT; SEVERABILITY

This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral. If any provision of this Letter is held to be invalid or unenforceable, such provision shall be severed and the remainder of this Letter shall remain in full force and effect.
