Recipient shall have a period of days from receipt of this Letter to effectuate the corrective actions or payment described above (the "Cure Period"). If Recipient commences substantial and demonstrable efforts to cure within the Cure Period, the parties may agree in writing to an extension. Any extension must be in writing and signed by both parties.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to execute and deliver this Letter and to perform its obligations hereunder. Sender represents that the factual statements set forth in Section 2 are true and correct to the best of Sender's knowledge. Recipient represents that any response given in writing will be accurate and made in good faith.

6. CONFIDENTIALITY

Unless otherwise indicated in writing, this Letter and its contents shall be treated as confidential communications for the purpose of settlement discussions. Notwithstanding the foregoing, either party may disclose this Letter where required by law or to enforce rights under this Letter, provided notice of such disclosure is given to the other party where legally permissible.

7. REMEDIES

The remedies provided in this Letter are cumulative and in addition to any and all rights and remedies available under contract, statute, or at law. If Sender prevails in any action to enforce its rights under this Letter, Sender shall be entitled to recover reasonable attorneys' fees and costs as provided by applicable law or agreement.

11. ENTIRE AGREEMENT

12. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions will not be affected or impaired and the parties shall negotiate in good faith to agree upon a valid substitute provision that, to the extent possible, effectuates the parties' original intent.
